The Co-Developer M/s. Nhava Sheva Business Park Pvt. Ltd.-FTWZ has requested for the approval of duty free procurement of list of materials required for various types of Development works amounting to Rs. 18,00,000/- vide letter dated 03.12.2024 duly certified by Chartered Engineer, Mr. Hitesh Kirit Assar (Registration No. AM 093601/7 dtd. 17.02.2006). The Specified Officer, M/s. JNPA-SEZ vide letter dated 26.12.2024 has submitted verification report and stated that, the list amounting to Rs. 18,00,000.00/- has been verified and is found to be fit for Authorized operations.

Ltd.-FTWZ has requested for the approval of duty free procurement of list of materials required for various types of Development works amounting to Rs. 28,54,928/- vide letter dated 15.01.2025 duly certified by Chartered Engineer, Mr. Hitesh Kirit Assar (Registration No. AM 093601/7 dtd. 17.02.2006). The Specified Officer, M/s. Nhava Sheva Business Park Private Limited (Unit) located at JNPA-SEZ for approval w.r.t. change in Shareholding Pattern of the company. नण"य: वचार-वमश" के बाद, स मत ने कंपनी अ धनयम के अनुसार अपेbत द.तावेज E.तुत करने क शत" पर, अनुदेश संdया 109, Aदनांक 18.10.2021 के अनुसार कंपनी के शेयरधाWरता पैटन" म पWरवत"न के संबंध म जेएनपीए-सेज़ -.थत मेसस" 6हावा शेवा बजनेस पाक" Eाइवेट ल मटेड (यूनट) के E.ताव को मंजूरी दे दUl इसके अलावा, स मत ने इकाई को नदश संdया 109, Aदनांक 18.10.2021 के अनुसार नCनलgखत सुरा उपाय1 का पालन करने का भी नदश Aदयाl

1. पWरवhतGत इकाई के लए अपWरवhतGत जCमेदाWरय1 और दायZव1 के साथ एसईजेड गतव धय1 क नबा"ध नरंतरताl

Decision: After deliberation, the Committee approved proposal of M/s. Nhava Sheva Business Park Private Limited (Unit) located at JNPA-SEZ for approval w.r.t. change in Shareholding Pattern of the company in terms of Instruction No. 109, dated 18.10.2021 subject to submission of requisite documents as per Company Act. Further, the Committee also directed the unit to comply with the following safeguards in terms of Instruction No. 109, dated 18.10.2021.

1. Seamless continuity of the SEZ activities with unaltered responsibilities and obligations for the altered entity.

2. Fulfillment of all eligibility criteria applicable, including security clearances etc, by the altered entity and it’s constituents.

3. Applicability of and compliance with all Revenue/Company Affairs/SEBI etc, Acts/Rules which regulate issues like capital gains, equity change, transfer, taxability etc.

4. Full financial details relating to change in equity/merger, demerger, amalgamation or transfer in ownership etc. shall be furnished immediately to Member (IT&R), CBDT, Department of Revenue and to the jurisdictional authority.

right to assess the taxability of the gain/loss arising out of the transfer of equity or merger demerger, amalgamation, transfer and ownerships etc. as may be applicable and eligibility for deduction under relevant sections of the Income Tax Act, 1961.

Jawaharlal Nehru Port Authority for permission w.r.t. laying pipeline of water, Treated Water and Sewage System connection to JNPA-SEZ STP and ESR’s from rehabilitation scheme of JNPA due to submission of incomplete application.

The Committee directed JNPA to submit complete application including details of tax benefit availed for STP.
