क) ᮧ᭭ताव :- मेससᭅ जेएनपीए-सेज़ मᱶ एक नए यूिनट कᳱ ᭭थापना के िलए मेससᭅ ᱟआ ᮝेᳲडग इंिडया एलएलपी ("ᱟआ") का ᮧ᭭ताव।

ख) िविश᳥ मु᳎ा िजस पर यूएसी का िनणᭅय आव᭫यक है:- ᮝेᳲडग और वेयरहाउᳲसग के िलए मेससᭅ जेएनपीए-सेज़ मᱶ एक नए यूिनट कᳱ ᭭थापना के िलए अनुमोदन।

ग) सेज़ अिधिनयम, 2005 और िनयम, 2006 के ᮧासंिगक ᮧावधान/िनदᱷश/अिधसूचना: - सेज़ िनयम, 2006 के िनयम 17 और 18 कᳱ ओर ᭟यान आकᳶषत ᳰकया जाता है, िजसमᱶ कहा गया है ᳰक

"िवकास आयुᲦ ऐसे ᮧ᭭ताव कᳱ जांच करᱶगे और इसे िवचार के िलए अनुमोदन सिमित कᳱ बैठक के समᭃ रखᱶगे।"

घ) अ᭠य जानकारी:- जेएनपीए-एसईजेड मᱶ एक नई इकाई ᭭थािपत करने का उᲦ ᮧ᭭ताव 07.02.2024 को आयोिजत 49वᱭ अनुमोदन सिमित कᳱ बैठक के समᭃ रखा गया था, िजसमᱶ सिमित ने देखा था ᳰक चूंᳰक ᳞ापार और भंडारण के िलए ᮧ᭭तािवत मद सामा᭠य ᮧकृित कᳱ है, इसिलए, आवेदक को ᭭थान कᳱ आव᭫यकता को ᭟यान मᱶ रखते ᱟए ᳞ापार और भंडारण के िलए ᮧ᭭तािवत व᭭तुᲐ को िन᳸द᳥ करना आव᭫यक है। इस ᮧकार सिमित ने ᮧ᭭ताव को आ᭭थिगत कर ᳰदया।

Proposal: - Proposal of M/s. Huaa Trading India LLP (“Huaa”) for setting up of a new unit in M/s. JNPA-SEZ. b. Specific issue on which decision of Approval Committee is required:- Approval for setting up of a new unit in M/s. JNPA-SEZ for Trading and Warehousing. c. Relevant provisions of SEZ Act, 2005 & Rules, 2006/ Instruction/ Notification: - Attention is invited to Rule 17 and 18 of the SEZ Rules, 2006 stipulates that – “the Development Commissioner shall get such proposal scrutinized and place it before the Approval Committee meeting for its consideration.” d. Other Information: - The said proposal for setting up a New Unit in JNPA-SEZ was placed before the 49th Approval Committee meeting held on 07.02.2024, wherein, the Committee had observed that as the item proposed for trading and warehousing are of generic nature, therefore, the applicant is required to specify the items proposed for trading and warehousing keeping into consideration the space requirement. The Committee thus deferred the proposal. ᳰᮓश फूड इंड᭭ᮝी (इंिडया) और ᳰᮓश बेकसᭅ एंड क᭠फे᭍शनसᭅ ᮧाइवेट िलिमटेड दोनᲂ समूह ᳞ापार रणनीित के एक भाग के ᱨप मᱶ, ह᭭तांतᳯरती कंपनी के ᳞वसाय के साथ वतᭅमान ᳞वसाय को एकᳱकृत करने का ᮧ᭭ताव कर रहे हᱹ;
चूंᳰक वैि᳡क ᭭तर पर ᭭वािम᭜व संबंधी ᳲचताᲐ को ठीक से मा᭠यता नहᱭ दी जाती है, जबᳰक ᮧाइवेट िलिमटेड कंपिनयᲂ को बेहतर अनुपालन दृ᭫यता के साथ बᱟत अ᭒छी तरह से पहचाना जाता है और कंपिनयᲂ के मामले मᱶ सरकारी पोटᭅल के मा᭟यम से भी ᳯरकॉडᭅ सुलभ होते हᱹ, इससे ᮕाहकᲂ को अिधक आ᭜मिव᳡ास िमलता है। अनुमानᲂ मᱶ कोई संशोधन नहᱭ:

In past, they has received approval for Change of Entrepreneur from Krish Food Industry (India) to Krish Bakers & Confectioners Private limited by way of Slump Sale Agreement on 18th of July 2022 from this office;
Post which they had executed BLUT and said BLUT was approved on 7th October 2022;
New entity name, GST, IEC, Registered office and PAN was also updated through Back-end amendment on SEZ online portal from your good office;
Thereafter, transactions were initiated in new entity name i.e. for procurement of raw materials, consumables etc from both Imported and Indigenous sources were initiated from September 2022, after processing exports was done by using GST and IEC of the Krish Bakers & Confectioners Private limited. (Enclosed herewith transaction summary from 16th September 2022 to 30th March 2023.
In the meanwhile, they approached Bank for funding in the name of Krish Bakers & Confectioners Pvt. Ltd for making payment to Krish Food Industry. However, bank did not sanction credit facility to us since it was a new entity with business commenced in September 2022. They received Bank refusal letter on 16 th January 2023.
On immediate basis they applied to this office on 17th January 2023 for cancellation of Change of Entrepreneur transaction by way of Slump Sale Agreement, from Krish Food Industry (India) to Krish Bakers & Confectioners Private limited (vide Letter of Approval No. SEEPZ-SEZ/NEWSEZ/JNPT-SEZ/01 /2018-19/VOL-1/11749 Dated: 18.07.2022).
Their Application for Cancellation of Change of Entrepreneur transaction by way of Slump Sale Agreement was approved in UAC meeting dated 27th February

Thereafter, again back end changes were done in SEZ Online system for IEC, GST, PAN etc updation in the name of Krish Food Industry (India) and we are carrying out our regular procurements, exports etc in the name Krish Food Industry (India).
Now, since they have received Bank sanction letter for funding on 6th February 2024, accordingly they have submitted application for approval for Change of Entrepreneur by way of Slump Sale Agreement, from Krish Food Industry (India) to Krish Bakers & Confectioners Private limited as going concern basis in accordance to the provision of Rule 19(2) of SEZ Rules, 2006 and Section 2(42C) of the Income Tax Act, 1961 and Instruction No. 109 of MOC&I.
They have also indicated that none of the entity i.e. Krish Food Industry (India) or Krish Bakers & Confectioners Private limited have availed Income Tax benefit under section 10AA. A. Background of the case:
Krish Food Industry (India) (“Krish Food”) is a Sole Proprietorship Firm owned by Mr. Ram Tulsidas Jagwani, he has vast knowledge in the field of Confectionery Manufacturing. For the past 15 years, he is engaged in the business of manufacturing and processing Confectionery items (such as Candies, Lollipops, Candy Bars, Chocolate, Cotton candy, and other sweet items of snack food), Bubblegum, Instant Coffee Powder, and Corrugated Boxes.
They have a diverse product portfolio and manufactures Confectionery items like Toffees, lollipops, Candy, etc. Krish Food has a broad customer base in UAE and African countries with whom it has long business relationships.
Krish Food is an approved SEZ Unit for Manufacturing and processing of Bubblegum, Instant Coffee Powder, Confectionery items such as candies, Lollipops, Candy Bars, Chocolate, Cotton candy, other sweet items of snack food & Corrugated Boxes; at JNPT SEZ approved on 22.05.2018 vide aforesaid letter of approval.
As a part of, a restructuring plan their management has decided to transfer the business from Krish Food Industry (India) to Krish Bakers & Confectioners Private limited, along with the Land and Building & Statutory liabilities if any in respect of SEZ Rules, JNPA, Local Authorities, etc which may arises in the future as per the provision of Instruction No. 109 of MOC&I.
Whereas, Krish Bakers & Confectioners Private limited (‘Hereinafter referred to as Transferee Co.’) was incorporated in the year 2021 to Carry on the Business as a Manufacturer & Exporters of Biscuits & Confectioneries items like Lollipops, Candies, Toffees, Chocolates, etc. Reasons for Slump Sale: M/s. Krish Food Industry (India) (Transferor) has decided to transfer the business by way of slump sale to Krish Bakers & Confectioners Private limited (Transferee Co.) for the purpose of following reasons:

Krish Bakers & Confectioners Private limited thereby leveraging the Capability of the merged entity; 2. Both Krish Food Industry (India) and Krish Bakers & Confectioners Private limited as a part of the group business strategy, are proposing to integrate the current business with the business of the transferee company; 3. Since Globally Proprietorship concerns are not recognized properly, whereas Private Limited Companies are very well recognized with better compliances visibility and in case of companies records are also accessible through Government Portal, this gives more confidence to clients. No Revision in Projections:

M/s. Krish Food Industry (India) would also like to indicate here, that “there will be no revision in the projections for Exports, Investments and Employment, etc w.r.t. Change of entrepreneur as this is a mere change in implementing agency by way of Business Transfer Agreement, wherein transferee company will take over the transferor business and transferee company will be into SEZ as an ongoing entity.
Hence, there will be no revision in projections. B.
