Decision:After deliberation, the Committee approved the proposal for transfer of assets and liabilities of M/s. Gebbs Healthcare Solutions Pvt. Ltd into M/s. H.K Designs (India) LLP (Unit-II) as additional location at Unit No. 144, SDF- VI, SEEPZ-SEZ in terms of Rule 74A of SEZ Rules, 2006 subject to the following condition:

i. Completion of all exit formalities by M/s Gebbs Healthcare Solutions Pvt Ltd ii. िनण%य: िवचार-िवमश% के पUात सिम4त Gारा इस :)ताव के संदभ% म िनयम 19(2) के अनुसार िनयम 74A के :ावधान क2 :ासंिगकता को लेकर िवषय उठाया गया, .जसके :Wयु1र म आवेदक ने आयकर अ4धिनयम, 1961 क2 धारा 2(42C) के अंतग%त "संप1 अंतरण Xयव)था" (Business Transfer Arrangement) को एक )ल5प सेल (Slump Sale) के प म उYृत िकया। इसके अ4त>रA, आवेदक Gारा वाZणJय और उSोग मंTालय (MoC&I) Gारा जारी िनदIश सं[या 109, िदनांक 23.02.2016 को आयो.जत 69व/ बोड% ऑफ अ:ूवल (BoA) क2 बैठक क2 काय%वृ1, तथा अ"य ज़ोनल SEZs क2 UAC बैठक= म अनुमोिदत BTA :)ताव= का भी हवाला िदया गया, जैसे: a) :)ताव सं[या 3.2(ii), कना%टक ()थत SEZs क2 इकाई अनुमोदन सिम4त (UAC) क2 6व/ बैठक (06/2024) क2 काय%वृ1, िदनांक 04.04.2024 b) एजडा आइटम सं[या 8, नोएडा, Qेटर नोएडा और खुजा% के िनजी SEZs के संदभ% म अनुमोदन सिम4त क2 बैठक क2 काय%वृ1, िदनांक 04.02.2021 c) एजडा सं[या 02, पुणे म IT/ITES के लए सेMटर- िवZश3 SEZ हेतु MIDC-SEZ, औरंगाबाद क2 अनुमोदन सिम4त क2 बैठक, िदनांक 05.08.2020 िनदIश सं[या 109 और आवेदक Gारा :)तुत BTA संदभE के आधार पर, सिम4त ने िनयम 19(2) तथा वाZणJय और उSोग मंTालय (MoC&I) के िनदIश सं[या 109 के अंतग%त, M/s Stellar Jewellery से M/s V & A Diamonds Private Limited को Business Transfer Agreement के माRयम से उSमी प>रवत%न के :)ताव को, उसम उ.]खत सुर^ा उपाय= का पालन करने और िन5नलखत शत% के अधीन, अनुमोिदत िकया: शत%: 28.05.2025 को आयो.जत SEEPZ :ा4धकरण बैठक म अनुमोिदत नई नी4त िदशािनदIश= के अनुसार िकराया देय होगा।

Decision:After deliberation, the matter was raised by the committee regarding applicability of provision of Rule 74A for such proposal in terms of Rule 19(2), in response to which, the applicant quoted references of Business Transfer Arrangement as a slump sale under Section 2 (42 C) of Income Tax Act, 1961, Instruction no. 109 issued by MoC&I, Minutes of 69th BoA meeting held on 23.02.2016, and Agenda Items of Business Transfer Arrangement (BTA) approved in the UAC meetings of other Zonal SEZs viz. a) Proposal No. 3.2(ii), Minutes of the Unit Approval Committee (UAC) of SEZs in Karnataka, 6th UAC (06/2024), dated 04.04.2024 b) Agenda Item No. 8, Minutes of the Approval Committee Meeting in respect of Private SEZs in Noida, Greater Noida, and Khurja, held on 04.02.2021 c) Agenda No. 02, Meeting of the Approval Committee for Sector Specific SEZ for IT/ITES at Pune of MIDC-SEZ, Aurangabad, held on 05.08.2020. After taking reference of the Instruction No. 109 and BTA reference produced by the applicant, the Committee approved the proposal for change of entrepreneur by way of Business Transfer Agreement from M/s Stellar Jewellery to M/s V & A Diamonds Private Limited in terms of Rule 19(2) read with Instruction No. 109 of the Ministry of Commerce & Industry (MoC&I), subject to the compliance of safeguards prescribed therein and following condition: Applicability of rent as per the new policy guidelines approved in SEEPZ Authority Meeting held on 28.05.2025. काय%सूची मद सं 05:व)तुओं क2 Xयापक ब_डग के लए मेसस% नुअंस Jवे8स :ाइवेट लिमटेड का :)ताव। Agenda Item No. 05: Proposal of M/s.
