Agenda Item No.03: Application for approval of Sharing of Common Infrastructure submitted by M/s. Vodafone India Services Pvt. Ltd

The committee noted that M/s Vodafone India Services Pvt. Ltd. (VISPL) has submitted an application for sharing of common network infrastructure facilities with another SEZ Unit along with other DTA Units of the company and its subsidiary under Rule 27 (5) of SEZ Rules, 2006.

The Unit is proposing creation of Vodafone Internal Contact Center Platform which is Cisco Telephony platform and is an Enterprise level call Manager (EPBX) which will be used by all of their business users from various locations of (VISPL) and their subsidiary Vodafone Global Services Pvt. Ltd. (VGSPL). The proposed common infrastructure includes CISCO Servers, Routers and Switches.

The Committee further noted that cost of installation of common infrastructure will be booked by applicant SEZ Unit and cost of operation and maintenance containing Hardware AMC cost, Software License Cost and IT Support cost shall be allocated in the ratio of manpower of respective units of the Company and its subsidiary company. Vodafone India Services Pvt. Ltd., EON SEZ Unit will raise tax invoice to Vodafone Global Services Pvt. Ltd., Bangalore Unit for sharing the common IT infrastructure.

The committee also noted the purpose of the Unit for sharing the common infrastructure which are as follows: a. Optimization of resources in terms of creating single point infrastructure for making inbound and outbound calls for VISPL and VGSPL leading to reduction of costs which otherwise would be required to create multiple set ups. b. Seamless connectivity and faster disaster recovery c. Easy to maintain infrastructure due to central hub

Rule 27 (5) of SEZ Rules 2006 is as follows:

“A Unit may import or procure Domestic Tariff Area, all types of goods and services, without payment of duty, taxes or cess for creating a central SEEPZM-SSEZ0MINF(EON1)/1/2024-O/o JDCP-SEEPZ SEZ I/72355/2024

facility for use by Units in Special Economic Zone and where such facility is created for software development, the same may be access by software exporters of Domestic Tariff Area”

In view of the above, the observations of the committee are as follows:

The proposal of the Unit is not falls under Rule 27 (5) as the purpose of creation of common infrastructure is not for software development which is mandatory requirement of Rule 27 (5).
The sharing of Infrastructure is tantamount to sub-letting which is not authorized operation of the applicant.
The Unit has not informed details whether the DTA Units are software exporting Units or not.

After deliberation, the committee the rejects the proposal of the Unit.

Agenda Item No.04: Application for approval of change in board of directors submitted by M/s. UPS Logistic Pvt. Ltd. After deliberation, the committee approved the proposal of the unit for change in Board of Directors, in terms of Instruction No. 109 dated 18.10.2021 issued by MOCI, as detailed below:

(ii) Brief detail of the project

LSI India Research and Development Pvt. Ltd. (LSI India), a private limited company incorporated in February 2005 under the Companies Act, 1956, is headquartered in Bengaluru, Karnataka. The company specializes in consultancy, training, and services in computers, electronics, engineering, software, and semiconductors. Its operations include semiconductor design and manufacturing, software development, marketing, and technical support, catering to both domestic and global markets. To expand its operations in India, LSI India proposes to set up a new SEZ unit in EON Kharadi Infrastructure Pvt. Ltd.-Phase-I SEZ, Pune. The Company is proposing to set up SEZ Unit with area of 1800 Sq. Meter i.e. 19,369 Sq. Ft. at 3rd Floor, Wing 2, Cluster B, EON Kharadi Infrastructure Pvt. Ltd. SEZ, Plot No.1 Survey No.77, MIDC Kharadi Knowledge Park Kharadi Pune-411014. The above area is currently occupied by M/s CA(India) Technologies Pvt. Ltd. (which is their group company 'Broadcom'), have submitted application for partial deletion of area without revision in projection. The same is being put up separately to JDC - Pune Cluster for approval. They are transferring following duty paid assets from CA(India) Technologies Pvt. Ltd. and they are in process of creating the asset transfer agreement and all these assets will be transferred upon applicable duty payment: HVAC System, Furniture, Workstation Chairs, Workstations, Capret, Other Office Furniture Further, the Unit vide mail dated 06.12.2024, the Unit has submitted that as a part of Global acquisition, one the division of Seagate Technology LLC is being acquired by their holding company i.e. Broadcom Inc. Following assets and employees from Seagate will be transfered to their new Unit. They have submitted list of assets will be transferred from Seagate Technology HDD India Pvt Ltd. to to their new Unit:

Other Lab releated hardware and accessories. The project involves an investment of ₹10 crore, with projected exports of ₹158.71 crore, a net foreign exchange (NFE) of ₹126.97 crore, and employment generation for 63 individuals over the next five years. The company seeks approval to establish this SEZ unit to bolster its business expansion.

Previous Reference Instruction No.89 issued by DoC provides for re organisation, business transfer arrangements to be undertaken by the unit with the approval of the UAC” and to take appropriate decision alongwith necessary safeguards and ensure that there is no revenue loss to the Government” On similar issue, in the case of M/s BNY Mellon Technology Pvt. Ltd., Magarpatta SEZ, setting up of the new unit was granted on in-principal basis, subject to the condition that the unit will fulfill the T&C of the LOA and upon execution of BLUT and further transfer of all goods shall be as per the asset purchase agreement and written confirmation from the Specified Officer that during this transfer of Assets from Seagate Technology HDD India Pvt. Ltd. and M/s CA (India) Technologies Pvt. Ltd. to M/s LSI India Research and Development Pvt.
