Agenda for the meeting of Board of Approval to be held on 19th October 2007 at 10:30 AM ITEM NO 1: - Proposals for setting up of SEZs A list of proposals for setting up of the SEZs is at Amexure- A for consideration of the Board of Approval. ITEM NO 2: - Proposals for Co-developers (i) Request of l,I/s Kolkata IT SEZ Private limited (KITSPL) as co- developer of 1.1.6 acres of ITITES SEZ at 24, Parganas, (South), West Bengal proposed to be developedby M/s M.L. Dalmia & Co. Ltd. IT/ITES SEZ at 24, Parganas, (South), West Bengal, proposed to be developed by M/s M.L. Dalmia & Co. Ltd. was notified on 08-08-2006 on an area of 48.56 hectares. M/s Kolkata IT SEZ Private limited (KITSPL) has submitted a proposal fol co-developer in the said SEZ for creating, developing, operating and maintaining IT and ITES office business centres, other necessary infrashucture support facilities and such other services as may be required for use by the prospective units. A copy of the development agreement between the developer and co-developers has been provided. (iD Request of I,I/s. Unitech Limited as co-developer in ITITES SEZ at Dundahera, Gurgaory Haryana proposed to be developed by NI/s. Gurgaon Infospace Limited (erstwhile IST Limited) The Board of approval, in its meeting held on 30th August,2007 deferred the above mentioned request, as the representative of the State Government stated that change o{ land use permission in the new name has not been granted on account o{ land not being transferred in the new name. Now the State Government has accorded permission to transfer the land measuring 28 acres 4 kanal 19 marlas {rom M/s. IST Ltd. to M/s. Gurgaon Infospace Ltd. subject to the condition that this company should continue to retain minimum 51% share of M/s. IST Ltd. and in case there is any dilution in the share holding then the company will have to seek prior permission and pav transfer free as per the Government notification, dated 29.09.2006. .T f_L)

(iii) Request of l/ys. Nest Hi-Tek Park private Ltd., (an SPV of IvI/s SFO Technologies Private Ltd.) as co-developer of 12.14 Hectares of Electronics Hardware SEZ at Kalamassery, Kerala, proposed to be developed by N4/s KINFRA. Electronics Hardware SEZ at Kalamassery, Kerala, proposed to be developed by M/s KINFRA was notified on 13-06-2007 on an area of 72.747 hectares. M/s Nest Hi-Tek Park private Ltd. has submitted a proposal for co- developer in the said SEZ lor implementing the project. KINFRA has selected and approved M/S SFO Technologies Pvt. Ltd., Kochi, as the co-developer for the SEZ and, in turry M/S SFO Technologies Pvt. Ltd. has formed an SPV named M/s Nest Hi-Tek Park private Ltd. (ir) Request of l,I/s RGA Software Systems Private limited as co-developer of 6.503 hectares of ITITES SEZ at Bellandur Village, Bangalore East Taluk proposed to be developed by l\4/s Primal Projects Private Limited. The proposal of M/s RGA Software Systems Private limited as co- developer of 6.503 hectares of IT/ITES SEZ was circulated with the project reports considered in the BOA meeting held on 72h J:uly 2007 . The proposal was deferred on account of clarity in regard to the net worth of the co-developer. Co- developer has submitted that certain inadvertent errors had crept in the agreement earlier submitted. Now, the co-developer has submitted a corrected copy of co-developer's agreement for perusal of the Board. fnrte"rur..E A rJ (v) Proposal for co-developers in the multi product SEZ to be developed by NMSEZ Development Company (formerly CIDCO) Formal approval was granted for setting up of multi product SEZ by Navi Mumbai SEZ Private Limited, in the meeting o{ the Board of Approval held on 12h Jdy,2007. Seven following companies have applied for nomination as co- developer in the SEZ proposed to be developed by NM SEZ Private Limited. The details of these companies along with the operations ProPosed to be carried by these co-developers are as follows: a. Urban Infotech Solutions Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for plan, establish, develop, provide, operate, manage, maintain, deal, supply take on lease, given on lease, hire or 1et on hire and to carry on the business of information, Communication and Entertainment (ICE) services like 1 Lzl

internet, Hosting, ASP, MSP, E-Commerce, Cable, value added services and other like forms of ISP services. A Memorandum of Understanding dated 8th November,2006 between the developer and co-developer has been provided. b. Urban Water Supply Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for undertaking the infrastructure related to abstraction, treatment, distribution, desalination, recycling, rain harvesting, creating water source, develop waste water system, sewerage, solid waste management and related infrastructure and all other activities incidental to water for the purpose of conslructiory fire fighting, landscaping, portable, non-portable, industrial, domestic, commercial, institutional usage. A Memorandum of Understanding dated 8fi November, 2006 between the developer and co-developer has been provided. c. Urban Communications Infrastructure Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for creating/building, developing, maintaining, supplying, operating, managing, take and give on lease, hire or let on hire on the business of running inJrastructure for - telecommunication, telecommunication systems, telecommunication network and telecommunication services of all kinds including telex, wireless, telephony, data communication, telematics and other like form of communications, transmission, emission or reception facilities in connection with any mode of communication. A Memorandum of Understanding dated 8s November, 2006 between the developer and co-developer has been provided. d. Urban Energy Transmission Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for undertaking the inJrastructure related to operations and maintenance of facilities Ior transmission of all forms of energy/power and to establish, conskuct, operate, maintain and develop power transmission system, cable, wires, I L5

lines, etc. A Memorandum oI Understanding dated 8ft November, 2006 between the developer and co-developer has been provided. e Urban Energy Generation Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for undertaking the development of infrastructure related to setting uP Power plant (s) in the SEZ to generate, harness, develop, accumulate, supply electric, thermal and hydro energy or any other form of energy f power from coal, gas, oii, hydrocarbons, sunlight, wind, tide or any other renewable energy source. A Memorandum of Understanding dated 8h November, 2006 between the developer and co-developer has been provided. f. Urban Infrastructure Constructions Private Limited as co-developer of NM SEZ Private Limited The proposal is for seeking approval as co-developer for construction of infrastructure related to industrial parks, pre-built factories, international business center, commercial and residential buildings, schoois, colleges, hospital, entertainment, sports, and recreation facilities etc. and other activities incidental to the development, oPeration and maintenance of SEZ. A Memorandum of Understanding dated 8th November, 2006 between the developer and co-developer has been provided. g. Urban Energy Distribution Private Limited as co-developer of NMSEZ Private Limited The proposal is for seeking approval as co-developer {or undertaking the inJrastructure related to operations and maintenance of facilities for distribution and supply of eiectric, thermal and hydro energy or any other form of energy/power and to establish, construct, oPerate, maintain and develop distribution system, cables wires, lines, etc. A Memorandum of Understanding dated 8h November, 2006 between the developer and co- developer has been provided. The above mentioned proposals were deferred for want of more details regarding financial status of the company. The same has been received and is placed at Annexure - B. The proposals are submitted for reconsideration. tLt L r-l {

ITEM NO 3: Request for increase in area (r) Request of M/s EON Kharadi Infrastructure Private Limited for addition of area to the already notified SEZ at Kharadi village, Pune Maharashtra. The above-mentioned SEZ was notified on 28th September 2006 on an area of 18 hectares. Now the developer proposes to expand its SEZ size by accumulating additional land parcels immediately to the extent of 12 acres and further 25 acres to be purchased adjacent to the existing notified SEZ to have the contiguity. The matter is placed for consideration of the Board. (ii) Request of Maharashtra Airport Development Company for including additional area of 66.90 hectares in Mihan SEZ. The Multi product SEZ at Nagpur, Maharashka by Maharashtra Airport Development Company Limited was notified on 29e May 2007 on an area of 1511.51 hectares. The developer has submitted a proposal for including additionai area for 66.90 hectares over and above the notified area. The formal approval granted to this proposal was for an area of 2086 hectares. Therefore, the request of the developer for including additional area is within the formal approval granted to the proposal. Item No.4: Requests for conversion of in-principle to formal approval (i) Request of I,I/s RNB Infrastructure Pvt. Item No. 8: Request of l\zl/s. Gujarat Textiles for transfer of unit from Falta SEZ to Kandla SEZ M/s. Gujarat Textiles is a unit in Falta SEZ with letter of permission for manufacture of processed garments/rags. The LoP is valid upto 31st December 2007. The unit has informed that their request for transfer from Falta SEZ to Kandla SEZ may be considered, as their unit is not viable at Falta SEZ: (i) (ii) (iii) (iu) FSEZ is far 60 kms port but KASEZ is only 6 kms away from port. FSEZ is situated in eastern Region from Eastern Region to ship at Africa and Middle East is much costlier then Western Region of our country. The product is low in value but having iarge volumes. Therefore, freight cost becomes higher. There is a large scope of marketing of product at Kandla SEZ as similar units are functioning there. Technical staff is available in Kandla SEZ on account of existence of similar units there. Skilled labours are also easily available at Kandla SEZ. (v, (ri) The unit has inJormed that they have maintained positive NFE till date. The request of the unit was considered in the meeting of the Board of Approval held on 8h August 2007 and was reiected. The developer has submitted a request for reconsideration of the decision of the Board of Approval. The same is submitted for reconsideration. Item No. 9: Appeal of I,I/s Crystal Polymers Implex, a unit in Kandla Special Economic Zone, against the order of cancellation of letter of approval. M/s Crystal Polymers Implex were issued LOP for establishing the unit in Kandla SEZ for carrying out manufacturing of recycled plastics granules, flakes, agglomerates, pellets, bars, lumps, powder etc. of all plastic varieties. The LOP granted to the unit was cancelled on account of the following: . The unit did not submit Annual Performance Report for the period 2004-05 and 2005-06. o The unit is lying closed since August 2004. o The unit did not obtain requisite environmental clearances. The cancellation order passed by the Joint Development Commissioner has also been approved by the Unit Approval Committee, who observed that alter going through the facts of the case and also taking into account that the unit Iu ,l

is inoperative for more than three years, the Committee felt that there is a justification in cancellation of LOA of the unit. Detailled rePresentation received from the unit is at Annexure - 8 and comments of Kandla SEZ on the representation is at Anrrexure - 9. The appeal of the Unit against the order of cancellation of LOP is submitted for consideration of the BOA. Item No. 10: Request of Cochin Port Trust for annexing water area to the SEZ at Puthuvypeen Port based SEZ at Puthuvypeen, comprising an area of 285.8413 hectares with Cochin Port Trust as developer, was notified on 2'd November 2006. M/s. Petronet LNG Limited (PLL), New Delhi and M/s. BPCL-KR have been designated as co-developers by the BOA for providing required inJrastructure for a LNG Port and Re-gasification terminal project and single Point Mooring Project respectively. BOA has also approved the authorized operations proposed to be carried out by PLL and BPCL-RK in the Puthuvypeen SEZ. Since it is a port based SEZ, the creation of infrastructure facilities will include handling of vessels and cargo. Some of the parts of this infrashucture will extend beyond the land area into the sea. The developer has informed that further in the case of BPCL-KR, which has been authorized to install single point mooring (SPM), the discharge point/load point is located in the Arabian Sea about 19 Kms off Puthuvypeen SEZ with an undersea pipeline connecting the SPM to the STF situated in the Puthuvypeen SEZ. The developer has further stated that, as such, the water area which are integral part of the inJrastructure facilities within the Puthuvypeen SEZ are also be brought under the purview of the SEZ for ensuring its smooth functioning. In view of this the developer has proposed to amex the water area contiguous to the Puthuvypeen SEZ. The detailed letter received from the developer is at Annexure - 10. A report was also called from the Development Commissioner, Cochin SEZ, which is placed at Annexure -11. The proposal was considered in the meeting of the Board of Approval held on 30ft August 2007 and, it was decided to defer the consideration of the request of Cochin Port Trust. iii) A large part of the land was hilly and covered by forests, mainly khair trees, which would make it more difficult to obtain environmental clearance. iv) The site being situated in the proximity of the IAF station at pathankot, would be subject to security restrictions, as well as restrictions on the height of structures within the Zone up to a distance of 4 kms of the runway. ln view of the above, we decided to shift the location of the proposed sEZ from Damtal to another site within Kangra District. So, in consultation with the District authorities, we identified another site for the SEZ at Milwan (Tehsil lndora, Dist. Kangra) in November 2006. The new site is situated along the National Highway (NH-1A), around 25 kms to the south of Pathankot, on the left bank of the Beas River. The land is parfly barren and partly single cropped and is sparsely populated. There are only four villages (Milwan, Khanpur, Dhamota and Tamota) in the area with a total population of about 600. However, the proposed site being located close to the Beas River / Chakki Khud, is reported to be flood prone, with the heavy floods being recorded in 1966 and .1988. We, therefore appointed a reputed consultant to study and analyze the impact of floods in the area. For this purpose, substantial amounl of information / data relating to floods / discharge of water from the Pong Dam had to be collected and handed over to the Consultant for undertaking the study and recommend suitable flood-protection measures required to be taken at the site. The said Consultant has also been given the task of preparation of digitized village maps and developing GIS based information system, so as to help us in preparing a detailed Master Plan for the Project. The Reports of the Consultant are expected to be received by end Feb, 07. Separately, through interactions with the lrrigation & Public Health Department of State Government, we have obtained information in respect of flood protection measures being taken by the State Government in the identified area. ln view of these unforeseen developments, the Company will be in a position to start acquiring land for the Project, (on a "willing buyer - willing seller" basis), only from March- April, 2007 onwards. Care will be taken to ensure that the guidelines prescribed by the Central Government for procurement of land for SEZs are adhered to. It will be evident from the above that there are number of problems associated with identifying a large chunk of flat land in hilly areas on account of these there has been unavoidable delay in determining the exact location for the Project. Besides the loss of time, this has also led to infructuous expenditure of about Rs. 1 crore to the Company. establishment of the lnternational Container Transshipment Terminal (ICTT), where the vessels from all over the world are expected to call at random. lt may please be noted that the ICTT is to be located in the Vallarpadam SEZ already notified by Gol whlch is only 850m away from Puthuvypeen SEZ [please see 3(ii) under reference]. b. For the surveillance purpose, the Port has proposed installation of a Vessel Traffic Management System (VTMS), which would mainly have Radar System for the surveillance of Port area and vessel movements therein. The WMS would also help in Data Processing, Communication System, AIS System (GPS based), Meteorological and Hydrographic System etc., which are required for the safe and efficient operation of the port. c. The main WMS Centre with 45m high tower will be located at Puthuvypeen SEZ very close to the entrance of the harbour, The Radars of this station together with another Radar to be installed on the top floor of Port's Administrative Building at Wlsland, would have adequate coverage of the ICTT at Vallarpadam SEZ and Port area at Puthuvypeen SEZ, apart from the sea area within the Port limit, and Port facilities at Willingdon lsland. d. Tenders for the WMS project have been received and are being finalised. The period for implementation is 12 months. The location of this facility is as shown in the drawing enclosed. 4. The works pertaining to the WMS project would involve procurement of construction materials like stones, aggregates, steel, cement, cables, skuctural steel etc. and procuremenuimport of electronic/electrical items. lt also involves availing of the services from conkactors/ construction companies. The above would, in turn, involve various duties, taxes including service tax. As the WMS facility is not covered by the list of default authorised operations approved by the BoA under notification No.F.2I112OO7-SEZ dated 26th June 2007, specific approval of the BoA is required for this authorised operation. The so called violation of the condition are only of procedural nature and are therefore improper and unjustified and accordingly the order under consideration is liable to be set aside. The learned adjudicating authority has also failed in considering the fact that, without ext€nsion of Letter of permission, Gujarat pollution control Board we were unable to work and carry on the activity. The Gujarat Pollution Control Board is likely to exlent the permission for the premises under consideration and therefore, the order passed by the adjudicating authority may please be set aside and we may be allowed to carry on the activity with the extended capacity as requested before the proper authority. Moreover, the approved authorised operations include the 9Pention and maintenance of LNG re-gasification facilities, Port Jetties etc. From the above, it can be seen that the water area at the southern side oI the Puthuvypeen SEZ is an integral part of the LNG Port and Regasilication L Terminal. ; 4. As per the Development Comnrissioner, CSEZ's letter (4) .cited under l .eferen.e, addressed to the M/s. BPCL-Kochi Refinery (BPCL-KR), the BoA in its i meeting held on 26h April, 2007 has approved the authorised operatiors -'' proposed to be carried out by BrcL-KR in the Puthuvypeen SEZ. These authorised operatioru, inter alia, include the following: (i) Irstallation of Single Point Mooring (SPM) and undersea pipeline from SPM to Shore Tank Farm (STF). (ii) Construction of Crude oil storage tanks at STF and connecting piping. It may please be noted that (i) the SPM, the unloading point of cmde oil from ships, is located in the Arabian Sea about 19 km off Puthuvypeen SEZ; and (ii) Ere undersea pipeline connecb the SPM to the Shore Tank Farm (STF) situated in the Puthuvypeen SEZ. Though these are integral to the SPM/ crude oil receipt facilities proiec! they are presently not under the SEZ. Operating in such a situation would be dilficult, as the crude oil has to be first unloaded at DTA, taken to the STF in SEZ, and then pumped to the refinery in DTA, thereby resulting in multiple entry and exits. Similarly, Problems will also arise when lightering of imported crude and loading of imported crude from STF to other refineries, are taken up at a later date as now proposed. 5. Ltd Service Sector SEZ at Ranga Reddy District of Andhra Pradesh, proposed to be developed by M/s Lahari. Infraskucture Limited was notilied on 14-09- 2007 on an area of 108.49 hectares. M/s Ariston Properties Pvt. Ltd. has submitted a proposal for co-developer in the said SEZ for creating, developing, operating and maintaining Service Sector office business centres, other necessary infrastructure support facilities and such other services as may be required for use by the prospective units. Request of M/s. Suzlon Infrastructure Ltd. for authorized operations in the SEZ is at Annexure 3 and is for consideration of the BoA. (iii) Request of M/s, Wockhardt In:ftastructure Development Limited for authorized operations in the Pharmaceuticals SEZ at Aurangabad, Maharashtra The above mentioned SFZ was notified on 17h April, 2007 on an area of 107.06 hectares. The authorized activities in respect of the SEZ were approved in the meeting of the Board of Approval held on 86 August 2007 and on 186 September 2007. There welre some of the items which were not clear. Therefore, during the meeting of the BoA on 18h Septemtrer, it was decided to call the developer for a brief presentation for having clear understanding of these activities. The details of the items which were not approved during the aforesaid meeting is at Annexure 4 and is submitted for consideration of the Board. (iii) Request of I{s. Parsvnath SEZ Limited for authorized operations in the ff/TES SEZ at Indore, MP fT/ITES SEZ at Indore, MP was notified on 26.7.2007 over the area of 30.981 hectares. Request of M/s. However, there is a thoroughfare and a railway line passing through the part of additional land proposed to be included in the SEZ. The developer has assured that they will maintain the contiguity by constructing under passes /security gates. The developer has sought relaxation in the contiguity as per procedure outlined in sub rule (2) of Rule 11. They have submitted that they had already

3 applied to the Railways for granting them permission to construct the underpass to maintain contiguity, but shall corunence construction only after they get the requisite approval from the Authorities. The proposals for including additional land of 1050 hectares and relaxation in contiguity are submitted for consideration of the Board. (ii) Request of N4/s. Orissa Industrial Infrastructure Development Corporation (IDCO) for increasing area of the IT SEZ at Khurda, Orissa. IT SEZ at Khurcla, Orissa proposed to be developed by IDCO was notified on 18ft May 2007, on an area of 69.75 hectares. IDCO has now inJormed that there is a patch of land admeasuring 0.81 hectares which was not included in the SEZ due to some pending litigation and existence of a building. It is further informed that the ongoing litigation has now ended. IDCO has requested for approval for inclusion of this patch of land in the existing SEZ. The developer has assured that they will not any SEZ bbnefits/ incentives in respect of the existing building on the plot. The proposal was considered in the meeting of the BoA held on 18.9.2007 and was deferred as the developer could not give a firm commitment in regard to the demolition of the existing building. The proposal of the developer is re-submitted for consideration of the BOA. (iii) Request of Hyderabad Urban Development Authority for reducing the area of IT^TES SEZ at Kokapet, Andhra Pradesh IT/ITES SEZ at Kokapet Village, Ranga Reddy Distric! Andhra Pradesh was notified on 13h Iune, 2007 on an area ol 47 .6 hectares. HUDA has stated that as Google, to whom a plot was allotted, is now opting out, they wish to reduce the area of the SEZ. HUDA has requested for reducing the area of the SEZ from 48.20 hectares to 40.10 hectares. The proposal was considered in the meeting of the BoA held on 1,8.9.2007 and was deferred with the direction that more details may be obtained from the developer. Same have been called for. The proposal is re-submitted for consideration of the BOA. Item No. 5: Proposal of l\zVs. Within the State, it is transmitted from ponda substation to Tivim, Verna and Kadamba 110/33 kV substations and further distribution is done through sub-transmission and distribution network comprising 39 33/1 1 kV substations, 860 Ckt-km of 33 kV lines with 2,800 distribution transformers and around 6500 Ckt km of LT lines. The Goa State Electricity Department caters for a consumer base of around 0.375 million. The total energy units supplied during 2000-01 was 1077 MU, of which 51% was consumed by industrial consumers , 2!ok by domestic consumers, 7o/o by commercial consumers, 1o/o by agricultu relinigation consumers and arounq 12-13o/o by others, including public lighting and water works. The Goa State Electricity Department has also commenced trading of surplus power with other States and has executed an MoU with the Power Trading Corporation (PTC) on August 16,2001 for trading of 80-100 MW of power. At present, 75 MW of power is being traded to the PTC at the rate of Rs. 2.50 per unit. Goa Government is purchasing the power from REL and also recently started purchasing the Grid from Haryana. At present the shortage of the power is more than 50% than that of the projected requirement. Meditab Specialities Pvt. Ltd. has set up the sector specific SEZ for Pharmaceutical Sector at around 304 acres land. To meet the demand of M/s. Cipla limited who had been given the LOP by DC, SEEPZ and their own requirement as SEZ developer and SEZ Unit. The requirement is around 7.5 MW and the balance requirement can be assessed only after knowing the requirement of individual units. Goa is now under speedy development and more than 7 SEZs have been already approved and is developed for the tourism and therefore there is growing demand of the power and hence we have planned to set up minimum 7.5 MW Captive Power Plant - Heavy Fuel Oil / HSD / Furnace Oil based. We intend to set up CPP from M/s. Kirloskar Oil Engines Limited (KOEL). We will be installing 3 nos. of 2.5 MW HFO DG Sets. The technical details thereof is enclosed herewith. Weigh Bridge The SEZ is situated at Village Kerim, Tal. Ponda, Goa where weighing scale in nearby area is not available. Weigh Bridge is must for the following purposes:

1. to get gross weight of the container / truck / consignment and also tare weight of the same.
2. the weight will be required fror the assessment of Bill of Entries / Bill of Exports. The said weigh bridge may be also utilized by number of other industries set up in nearby area and therefore, we may construct the same either in the non- processing area or the processing area as the case may be.
