5. The Assessing Officer shall have the
right to assess the taxability of the
gain/loss arising out of the transfer of
equity

amalgamation, transfer and ownerships
etc. as may be applicable and eligibility
for deduction under relevant sections of
the Income Tax Act, 1961.

The Committee observed that the figure
provided by the applicant, Rs. 209,67,00,000/-,
is different from the figure given by the
Specified Officer, Rs. 206,67,00,000/-.
The Committee directed to Specified Officer,
Aurum-SEZ to re-verify the proposal of M/s.
Aurum RealEstate Developers Limited.
Also Committe directed developer to present

approval w.r.t. Change of Name of their company, Change in Shareholding Pattern and Change in
Board of Directors of the company.
b. Specific Issue on which decision of AC is required: -  
        Approval for Change of Name of their company from M/s Momentum Metropolitan Services
Private Limited to M/s Momentum Services Private Limited with Change in Shareholding Pattern
and Change in Board of Directors of the company.
c. Relevant provisions of SEZ Act, 2005 & Rules, 2006/Instruction/    
    Notification :- 
        Attention is invited to Instruction No. 109 of MOC&I dated 18 th October, 2021
stipulates that - “In supersession of Instruction No. 89 dated 17.05.2018 and Instruction No. 90
dated 03.08.2018 of this Department on the subject cited above and in exercise of provisions of
Section 10(10) of the SEZ Act, 2005, it is hereby conveyed that the guidelines for approval in the
cases of reorganization including change of name, change of shareholding pattern, business
transfer arrangements, court approved mergers and demergers, change of constitution, change of
Directors, etc. of SEZ Developers / Co-developers as well as SEZ Units shall be as follows:

Developer / Unit shall remain unchanged on such reorganization.

b. Observation:
          
The agenda of M/s. Aurum RealEstate Developers Limited (Developer) for approval of
procurement of list of material required for Construction of Building IT Tower No. 03/Q3 was placed in the
UAC meeting held on 24.03.2025, wherein the Committee deferred the proposal as the representative of the
applicant was not present.
            The Committee observed that the figure provided by the applicant, Rs. 209,67,00,000/-, is different from
the figure given by the Specified Officer, Rs. 206,67,00,000/- also committee directed developer to present with
maps and approved layout the construction / renewation has been proposed in coming UAC.  
          
In this connection, the Specified Officer, vide letter dated 15.04.2025, has submitted a re-verification
report in respect of the list of goods valued at Rs. 209,67,00,000/- to be used for Authorized Operations.
e. Recommendation: 
The developer’s proposal for the approval of the procurement list of materials required the for
construction of Building IT Tower No. 03/Q3, amounting to Rs. 209,67,00,000.00/- for their Authorized
Operations is scrutinized and placed before Approval Meeting for consideration in terms of Rule 12(2) of
SEZ Rules, 2006 and MOC&I Instruction No. 50, dated 15.03.2010.
