AGENDA NOTE FOR CONSIDERATION OF APPROVAL COMMITTEE

a) Proposal: - Application submitted by M/s. Gera Resorts Pvt. Ltd. (Developer) located at M/s. KRC Infrastructure and Project Pvt. Ltd. and M/s. Gera Resort Pvt. Ltd. for Change in Name of SEZ Developer. b) Specific Issue on which decision of AC is required: - Approval of the Committee for Change in Name of SEZ Developer in terms of Instruction No. 109 dated 18.10.2021, as detailed below: Change in Name of SEZ Developer: Name before Change Name After Change M/s. Gera Resorts Pvt. Ltd. M/s. Gera Holding Pvt. Ltd. c) Relevant provisions: - As per para (i) of Instruction no. 109, dated 18.10.2021, “Reorganization including change of name, Change of Shareholding pattern, business transfer arrangements, court approved mergers and demergers, change of constitution, Change of Directors, etc. may be undertaken by the Unit Approval Committee (UAC) concerned subject to the condition that the Developer/Co-developer/ Unit shall not opt out or exit out of the Special Economic Zone and continues to operate as a going concern. All liabilities of the Developer/Co-Developer/Unit shall remain unchanged on such reorganization.” … d) Other Information: -  The Developer was granted Formal Approval Letter No. F.1/29/2016-SEZ Dated 22.02.2017  The Developer has submitted following documents: o Copy of certificate of incorporation issued by Ministry of Corporate Affairs dated 17th July 2023 pursuant to change of name. o Copy of Board Resolution o CA certificate o Copy of LOA o Earlier approval copy of change in entrepreneurship by BOA meeting held on 25.09.2020.  Reason for the change in name: The Developer has informed that, due to the de-merger of Gera Development Pvt. Ltd. into Gera Resorts Pvt. Ltd., the entrepreneurship was changed to Gera Resorts Pvt. Ltd., and the File No.S-SEZ-PRO0KRCG/3/2022-JDCP I/2788/2023 97

2 same was approved by the Board. Owing to this business decision, the unit now wishes to change the name of their Developer company from Gera Resorts Pvt. Ltd. to Gera Holding Pvt. Ltd.  The unit has submitted that, there is no change in the shareholding pattern and the names of the directors. d) ADC’s Recommendations:

Approval Committee may kindly consider the proposal of Developer for Change in Name, in terms of Instruction no. 109 issued by MOC&I.
