The Quarterly Performance Reports for the period
January 2025 to March 2025 and Half-yearly
performance for the period October 2024 to
March 2025 was submitted by the Developer and
verified by the Specified Officer, Roma-SEZ vide
letter dated 21.05.2025.
 
िनण"य:- िवचार-िवमश" के बाद, सिम<त ने एसईजेड िनयम, 2006 के
िनयम 12(6) और िनयम 22(4) के अनुसार रोमा िब$डस" &ाइवेट
)लिमटेड (डेवलपर) क जनवरी 2025 से माच" 2025 क अव<ध के
)लए 9ैमा:सक िनOपादन Lरपोट" और अ2टूबर 2024 से माच" 2025
क अव<ध के )लए अध"-वाRषक िनOपादन Lरपोट" को नोट िकया।
 
Decision :- After deliberations, the Committee
noted the Quarterly Performance Reports for the
period January 2025 to March 2025 and Half-
yearly performance for the period October 2024
to March 2025 of Roma Builders Pvt. Ltd.
(Developer) in terms of Rule 12(6) and Rule 22(4)
of SEZ Rules, 2006.

िनण"य:- िवचार-िवमश" के बाद, सिम<त ने मेसस" टाटा कंस$टसी
सRवसेज (यूिनट-I) के &+ताव को अनुदेश सं[या 109, िदनांक
8.10.2021 के अनुसार कंपनी के िनदेशक मंडल म पLरवत"न के
)लए मंजूरी दे दी। इसके अलावा, सिम<त ने इकाई को अनुदेश सं[या
09, िदनांक 18.10.2021 के अनुसार िनQन)ल)खत सुरा उपायG
का अनुपालन करने का भी िनद_श िदया।
 
Decision:- After deliberation, the Committee
approved 
the 
proposal 
of M/s. 
TATA
Consultancy 
Services 
(Unit-I)  for
change in the Board of Directors of the
company in terms of Instruction No. 109,
dated 18.10.2021. Further, the Committee
also directed the unit to comply with the
following safeguards in terms of Instruction
No.109, dated 18.10.2021.
 
    1. पLरव`तत इकाई के )लए अपLरव`तत :जQमेदाLरयG और दा<य\वG
क साथ सेज़ ग<तिव<धयG क िनबा"ध िनरंतरता।
 
1. Seamless continuity of the SEZ activities with
unaltered responsibilities and obligations for the
altered entity.
    2. पLरव`तत इकाई और उसके घटकG 
ारा सुरा मंजूरी
आिद सिहत सभी पा9ता मानदंडG को पूरा करना।
 
2 . Fulfillment of all eligibility criteria applicable,
including securityclearances etc, by the altered
entity and it’s constituents.
    3. सभी राज+व/कंपनी मामले/सेबी आिद अ<धिनयमG/िनयमG
क &योaयता और अनुपालन, जो पूंजीगत लाभ, इE2वटी
Lरवत"न, ह+तांतरण, कर देयता आिद जैसे मुbG को िविनयिमत
करते हc।
 
3 . Applicability of and compliance with all
Revenue / Company Affairs/SEBI etc, Acts/Rules
which regulate issues like capital gains, equity
change, transfer, taxability etc.
    4. इE2वटी म पLरवत"न/िवलय, िवभाजन, समामेलन या
वािम\व म ह+तांतरण आिद से संबं<धत पूण" िव@ीय िववरण तुरंत
सद+य (आईटी एंड आर), सीबीडीटी, राज+व िवभाग और
9ा<धकार &ा<धकारी को &+तुत िकया जाएगा।
 
4 . Full financial details relating to change in
equity/merger, 
demerger, 
amalgamation 
or
transfer in ownership etc. shall be furnished
immediately 
to 
Member 
(IT&R), 
CBDT,
Department of Revenue and to the jurisdictional
authority.

5. मू$यांकन अ<धकारी को इE2वटी या िवलय, िवभाजन,
ककरण, ह+तांतरण और +वािम\व आिद के ह+तांतरण से उ\पd
लाभ/हािन क करदेयता का आकलन करने का अ<धकार होगा,
जैसा भी लागू हो और आयकर अ<धिनयम, 1961 क &ासंिगक
धाराओं के तहत कटौती के )लए पा9ता होगी।
 
5 . The Assessing Officer shall have the right to
assess the taxability of the gain/loss arising out of
the transfer of equity or merger demerger,
amalgamation, transfer and ownerships etc. as
may be applicable and eligibility for deduction
under relevant sections of the Income Tax Act,
1961.
     6. आवेदक को राaय सरकार के &ासंिगक कानूनG का पालन
करना होगा, :जसम भूिम के पfे से संबं<धत कानून भी शािमल हc।
 
6. The applicant shall comply with relevant State
Government laws, including those relating to
lease of land, as applicable.
 7. आवेदक को सीबीडीटी को पैन और इकाई के े9ा<धकार
िनधा"रण अ<धकारी का िववरण &+तुत करना होगा।
 
7. The applicant shall furnish details of PAN and
jurisdictional assessing officer of the unit to CBDT.
 
. आवेदक को सभी अ3भलेखG म नये नाम या ऐसी hयव+था से
हचाना जाएगा।
 
 
8. The applicant shall be recognized by the new
name or such arrangement in all the records.
