िनण$य:- िवचार-िवमश$ के बाद, सिम3त ने मेसस$ कैपजेिमनी
टे=नोलॉजी स?वसेज इं3डया लिमटेड के िदनांक
18.10.2021 के िनदXश सं*या 109 के अनुसार कंपनी के
िनदेशक मंडल म पNरवत$न के UIताव को मंजूरी दे दी। इसके
अलावा, सिम3त ने इकाई को िदनांक 18.10.2021 के िनदXश
सं*या 109 के अनुसार िन2नलखत सुर9ा उपायK का पालन
करने का भी िनदXश िदया।
 
Decision:- After deliberation, the Committee approved the
proposal of M/s. Capgemini Technology Services India
Ltd. for change in the Board of Directors of the company
in terms of Instruction No. 109, dated 18.10.2021. Further,
the Committee also directed the unit to comply with the
following safeguards in terms of Instruction No.109, dated
18.10.2021.
1. पNरवZतत इकाई के लए अपNरवZतत ,ज2मेदाNरयK और दा3य[वK
के साथ सेज़ ग3तिव3धयK क0 िनबा$ध िनरंतरता।
 
1. Seamless continuity of the SEZ activities with unaltered
responsibilities and obligations for the altered entity.
2. पNरवZतत इकाई और उसके घटकK :ारा सुर9ा मंजूरी
आिद सिहत सभी पाEता मानदंडK को पूरा करना।
 
2. Fulfillment of all eligibility criteria applicable, including
security clearances etc, by the altered entity and it’s
constituents.

3. सभी राजIव/कंपनी मामले/सेबी आिद अ3धिनयमK/िनयमK
क0 Uयो\यता और अनुपालन, जो पूंजीगत लाभ, इH=वटी
पNरवत$न, हIतांतरण, कर देयता आिद जैसे मु]K को
िविनयिमत करते ह^।
 
3. Applicability of and compliance with all Revenue /
Company Affairs/SEBI etc, Acts/Rules which regulate
issues like capital gains, equity change, transfer, taxability
etc.
4. इH=वटी म पNरवत$न/िवलय, िवभाजन, समामेलन या
Iवािम[व म हIतांतरण आिद से संबं3धत पूण$ िव/ीय िववरण
तुरंत सदIय (आईटी एंड आर), सीबीडीटी, राजIव िवभाग
और 9ेEा3धकार Uा3धकारी को UIतुत िकया जाएगा।
 
4. Full financial details relating to change in equity/merger,
demerger, amalgamation or transfer in ownership etc. shall
be furnished immediately to Member (IT&R), CBDT,
Department of Revenue and to the jurisdictional authority.
5. मूPयांकन अ3धकारी को इH=वटी या िवलय, िवभाजन,
एक0करण, हIतांतरण और Iवािम[व आिद के हIतांतरण से
उ[प_ लाभ/हािन क0 करदेयता का आकलन करने का
अ3धकार होगा, जैसा भी लागू हो और आयकर अ3धिनयम,
1961 क0 Uासंिगक धाराओं के तहत कटौती के लए पाEता
होगी।
 
5. The Assessing Officer shall have the right to assess the
taxability of the gain/loss arising out of the transfer of
equity or merger demerger, amalgamation, transfer and
ownerships etc. as may be applicable and eligibility for
deduction under relevant sections of the Income Tax Act,
1961.
6. आवेदक को रा\य सरकार के Uासंिगक कानूनK का पालन
करना होगा, ,जसम भूिम के पaे से संबं3धत कानून भी शािमल
ह^।
 
6. The 
applicant 
shall 
comply 
with 
relevant 
State
Government laws, including those relating to lease of land,
as applicable.
7. आवेदक को सीबीडीटी को पैन और इकाई के 9ेEा3धकार
िनधा$रण अ3धकारी का िववरण UIतुत करना होगा।
 
7. The applicant shall furnish details of PAN and
jurisdictional assessing officer of the unit to CBDT.
8. आवेदक को सभी अभलेखK म नये नाम या ऐसी bयवIथा
से पहचाना जाएगा।
 
8. The applicant shall be recognized by the new name or such
arrangement in all the records.
