Decision:- After deliberation, the Committee
approved
the
proposal
ofM/s.
TATA
Consultancy
Services
(Unit-I) for
change in the Board of Directors of the
company in terms of Instruction No. 109,
dated
18.10.2021.
Further,
the
Committee
also directed the unit to comply with the
following safeguards in terms of Instruction
No.109, dated 18.10.2021.

1. Seamless continuity of the SEZ activities with
unaltered responsibilities and obligations for the
altered entity.

2 . Fulllment of all eligibility criteria applicable,
including securityclearances etc, by the altered
entity and it’s constituents.
3. सभीराजव/कंपनीमामले/सेबीआिदअधिनयम/िनयम
कयोयताऔरअनुपालन, जोपूंजीगतलाभ, इवटी
रवतन, हतांतरण, करदेयताआिदजैसेमुकोिविनयिमत
करतेह।
3 . Applicability
of
and
compliance
with
all
Revenue / Company Aairs/SEBI etc, Acts/Rules
which regulate issues like capital gains, equity
change, transfer, taxability etc.
4. इवटीमपरवतन/िवलय, िवभाजन, समामेलनया
वािमवमहतांतरणआिदसेसंबंधतपूणिवीयिववरणतुरंत
सदय(आईटीएंडआर), सीबीडीटी, राजविवभागऔर
ाधकाराधकारीकोतुतिकयाजाएगा।
4 . Full nancial details relating to change in
equity/merger,
demerger,
amalgamation
or
transfer
in
ownership
etc.
shall
be
furnished
immediately
to
Member
(IT&R),
CBDT,
Department of Revenue and to the jurisdictional
authority.

5. मूयांकनअधकारीकोइवटीयािवलय, िवभाजन,
ककरण, हतांतरणऔरवािमवआिदकेहतांतरणसेउप
लाभ/हािनककरदेयताकाआकलनकरनेकाअधकारहोगा,
जैसाभीलागूहोऔरआयकरअधिनयम, 1961 कासंिगक
धाराओंकेतहतकटौतीकेलएपाताहोगी।
5 . The Assessing Officer shall have the right to
assess the taxability of the gain/loss arising out of
the
transfer
of
equity
or
merger
demerger,
amalgamation, transfer and ownerships etc. as
may be applicable and eligibility for deduction
under relevant sections of the Income Tax Act,
1961.
6.आवेदककोरायसरकारकेासंिगककानूनकापालन

6. The applicant shall comply with relevant State
Government
laws,
including
those
relating
to
lease of land, as applicable.

7. The applicant shall furnish details of PAN and
jurisdictional assessing officer of the unit to CBDT.

AGENDA NOTE FOR CONSIDERATION OF APPROVAL COMMITTEE

a. Proposal : 
Monitoring of Quarterly Performance Report of Roma Builders Pvt. Ltd., (Developer) for the period April 2025 to June
2025.
b. Specific Issue on which decision of AC is required: -  
Monitoring of Quarterly Performance Report for the period April 2025 to June 2025.
c. Relevant provisions of SEZ Act, 2005 & Rules, 2006/Instruction/    
    Notification :- 
In terms of Rule 12(6), of SEZ Rules 2006 -  “The Developer shall maintain a proper account of the import or procurement,
consumption and utilization of goods and submit quarterly and half-yearly returns to the Development Commissioner in
Form E for placing the same before the Approval Committee”.
In terms of Rule 22(4), of SEZ Rules 2006 -  “The Developer shall submit Quarterly Report on import and procurement of
goods from the Domestic Tariff Area, utilization of the same and the stock in hand, in  Form E to the Development
Commissioner and the Specified Officer and Development Commissioner shall place the same before the Approval
Committee.
d. Other Information: - 
          Roma Builders Pvt. Ltd. (Developer), has been granted Formal Approval No. F.1/8/2019-SEZ Dated 16.01.2020 for
IT/ITES at Hiranandani Estate, Off. Ghodbundar Road, Village Kevesar, Thane 400607.
            The QPR was forwarded to Specified Officer for verification. The Specified Officer vide letter dated 01.08.2025 has
stated that the QPR from “April 2025 to June 2025”  submitted by the Developer has been verified based on the records
maintained in Customs office and from NSDL system. NO discrepancy has been found in report submitted by the developer
vis-à-vis the records maintained at their office.
            The detailed report in respect of Roma Builders Pvt. Ltd. (Developer) of the Quarterly Performance Report for the
period April 2025 to June 2025 is as under:

            Specified Officer further stated that, there is Four Lakhs Fifty-Five Thousand Four Hundred and Thirty Four
(4,55,434/-) Duty Forgone in this said period i.e., April 2025 to June 2025.
            Further, the Developer has submitted the GSTR 2A for the period of April 2025 to June 2025. The details of GSTR
2A have been scrutinized vis-à-vis the data maintained with NSDL online system. It has been observed that, for Annexure B
(Services), where the invoice date and endorsement date fall within the same period, figures are matching with the data
reflected in GSTR 2A whereas, where endorsement date and invoice dates doesn't fall within the same period, figures are not
matching with the data reflected in GSTR 2A.
            On enquiry, the Developer has informed that as the date of filing of GSTR 1 and also date of payment of duty by the
supplier falls in the next month of the supply month, there is always a possibility of mismatch. So, it is not possible to
reconcile the data in GSTR 2A and that in SEZ online system for a particular QPR period on a real time basis.
            Bond value has been checked and the duty foregone has not exceeded the bond value.
             Copy of Specified Officer’s letter dated 01.08.2025 is enclosed.
e. Recommendation: 
No Discrepancy has been found by the Specified Officer with respect to QPR for the period April 2025 to June 2025 of
Roma Builders Pvt. Ltd., (Developer). Hence, monitoring performance of the Developer for said period is submitted before
the Approval Committee for consideration.
