“ At the outset, the Chairman welcomed the participants. After brief introduction, each items included in the agenda were taken up for deliberation one by one. After detailed deliberations amongst the members of the Approval Committee as well as interaction with the applicants / representatives of the developers / units, the following decisions were taken:1. 2.3. After due deliberations, Approval Committee approved the proposed list of materials.

Seaview Developers Private Ltd. had submitted a proposal for cancellation of the permission letter No. 10/46/2006-SEZ/Vol-lV/3232 dated 23.03.2018 issued by this office for allotment of built space of 441 Sqft. at Ground floor, Amenity Block-Il in the processing area of IT/ITES SEZ at Plot No. 20 & 21, Sector-135, Noida (U.P.) on lease basis to M/s. Edesia Corp to setup & operate a ‘Quick Service Restaurant’ for exclusive use by the employees of SEZ. It was informed that the developer had enclosed consent letter of Mrs. Anu Gupta, Proprietor of M/s. Edesia Corp. giving her consent for cancellation of said approval. It was also informed that the developer had surrendered original letters dated 23.03.2018 issued to the developer & M/s. Edesia Corp..

3.2. | Shri Jay Kumar and Shri Amrik Singh both authorized representative of M/s. Gurgaron Infospace Ltd. appeared before the Approval Committee and requested to cancel the said permission letter.

3.3. After due deliberations, the Approval Committee decided to cancel the letter No. 10/46/2006SEZ/Vol-IV/3232 dated 23.03.2018 issued by this office for allotment of built up space of 441 Saft. at Ground floor, Amenity Block-II to M/s. Edesia Corp to setup & operate a ‘Quick Service Restaurant’ in the processing area of the IT/ITES SEZ at Plot No. 20 & 21, Sector-135, Noida (U.P.). 04. It was brought to the notice of the Approval Committee that M/s. Xavient Software Solutions India Pvt. Ltd. had applied for expansion of area & revision in projections of its unit located in the IT/TES SEZ of M/s. Seaview Developers Pvt. Ltd. at Plot No. 20 & 21, Sector-135, Noida (Uttar Pradesh). It was informed to the Committee that presently unit has occupied 180200 Saft. area at 5" floor, Building No. 5, and Upper Ground floor, Building No.6, 3" floor, 4" floor & 5" floor & 6" floor, Building No.6. It was informed that the unit has requested for addition of 45688 Saft. area at 3 & 4" floor (22844 Saft. each), Building No.7 of SEZ.

4.3. | Shri Ashish Jain, Director of M/s. Xavient Software Solutions India Pvt. Ltd. appeared before the Approval Committee and explained the proposal. He informed to the Approval Committee they have submitted proposal for addition of area of 3" floor (22844 Sqft.), 4" floor (22844 Saft.), 5" floor (20400 Sqft) & 6" floor (22844 Sqft.) at Building No.7 of SEZ and they have submitted three letters of provisional offer of space issued by the SEZ Developer in respect of aforesaid area.

4.4. The Approval Committee observed that the unit had enclosed copies of three letters of provisional offer of space issued by SEZ Developer for allotment of i) 45688 Sqft. area at 3 & 4" floor (22844 Sqft. each), Building No.7, ii) 20400 Sqft. at 5" floor, Building No.7 & iii) 22844 Sqft. at 6" floor, Building No.7 with its letter dated 12.12.2019 as supporting documents. However, details of proposed additional area had not been mentioned in the unit’s letter dated 12.12.2019. The Approval Committee further observed that the unit had commenced operation w.e.f. 24.12.2018, however, APR for the FY 2018-19 still not submitted. On being asked about the reasons for non-submission of APR, the representative of the unit informed that the financials of the company yet to be finalised. The representative of the unit assured that they will submit the APR by 10" of January, 2020.

4.5. After due deliberations, the Approval Committee approved the proposed expansion of area by addition of 3 floor (22844 Saft.), 4" floor (22844 Sqft.), 5" floor (20400 Saft) & 6" floor (22844 Saft.) at Building No.7 and proposed revision in projections, subject to the condition that the formal approval shall be issued only after receipt of APR for FY 2018-19 from the unit.

5.1. It was brought to the notice of the Approval Committee that M/s. Globallogic India Limited is having two units in the IT/ITES SEZ of M/s Oxygen Business Park Private limited, Plot No.07, Sector144, Noida (U.P). It was informed that M/s. Globallogic India Limited had submitted proposal to setup ‘Tuck Shop’ facility in the premises of the Unit-ll i.e. 7" floor Tower-3, for exclusive use by the employees of both the SEZ units.

5.2. It was informed that SEZ Developer has given NOC dt. 16.12.2019 to the unit to setup ‘Cafeteria’ over an area of 2560 Saft. at 7" floor Tower-3 instead of ‘Tuck Shop’.

5.3. Further, it was informed that in terms of Rule 11(5) proviso 1 of SEZ Rules “the Developer may, with the prior approval of the Approval Committee, grant on lease land or built up space, for i Page 3 of 10

creating facilities such as canteen, public telephone booths, first aid centres, creche and such other facilities as may be required for the exclusive use of the Unit”.

5.4. It was further informed that Deptt. of Commerce vide letter No. B-17/2/2018-SEZ-Part(1) dt.11.06.2019 has issued Instruction No. 95, wherein it has been stated that the permission for setting up cafeteria, creche, gymnasium and similar facilities in the premises of unit for exclusive use of such units can be granted subject to following conditions:-

a) _ The facilities as envisaged under the proviso to Rule 11(5) of the SEZ Rules could also be created by a unit for its exclusive use subject to obtaining a NOC from the Developer as well as necessary NOCs/ clearances/ approvals from the relevant statutory authorities.
b) The unit shall not be eligible for any exemptions, drawback, concessions, or any other benefit available under Section 7 or Section 26 of SEZ Act, for creating or operating such facilities.

5.5. Shri Anshul Srivastava, Sr. Manager of M/s. Globallogic India Ltd. appeared before the Approval Committee and explained the proposal. On being asked by the Approval Committee, the representatives informed that a ‘Tuck Shop’ is where no cooking activities are undertaken and only pre-cooked items are served. He further informed that no cooking activity is being undertaken in the unit's premises and only ready to eat food is served for consumption of the employees. He further informed that neither the unit nor its vendor will avail any duty benefits/exemptions for creation & operation of such facility. 5.6. After due deliberations, the Approval Committee approved the proposed ‘Tuck Shop’ over an area of 2560 Sqft. at 7" floor Tower-3 in the unit’s premises for exclusive use by its employees, subject to statutory compliance and subject to the condition that neither the unit nor its vendor(s) shall be eligible for any exemptions, drawback, concessions or any other benefits available under SEZ Act/ SEZ Rules, for creation & operation of such facilities. The unit shall obtain necessary NOCs/ clearances/ approvals such as Fire, Health etc. from the relevant statutory authorities, if applicable, as required under Instruction No. 95 dated 11.06.2019 mentioned above. It was further directed by the Approval Committee that Specified Officer will verify and ensure that statutory compliances are being met.

6.2. It was informed that the developer has proposed '75 nos. Cockroach Trap (Pantry)” at SI. No. 42 under the authorized operation namely “Construction of all types of building in Processing area as approved by UAC’ (Annexure-ll), whereas an separate authorized operation namely “Cafeteria / Canteen for staff in processing area” is available in the list of default authorized operations issued by DOC vide Instruction No. 50 dated 15.03.2010. Further, there is totaling mistake in CE Certificate as Rs.2144.49 lakhs instead of Rs.2144.89 lakhs.

6.3. Mr. D.K. Sharma, Associate Director & Mr. Uttam Debnath, Asstt. Manager of M/s. HCL Technologies Ltd. appeared before the Approval Committee and explained the requirement of proposed materials. The representatives informed that the proposed ‘Cockroach Traps’ are used in Toilets of various buildings. Further, they accepted that there is a calculation mistake in CE Certificate and they will submit the correct CE Certificate.

6.4. The Approval Committee observed that various items proposed under Exim Code 0904 are ‘Prohibited’ and various items Exim Code 4802 are ‘Restricted’ for import. 10.3. Shri Vipin Sharma, V.P. & Shri Pramod Chhoker, Sr. Manager of M/s. Arshiya 3PL Services Limited appeared before the Approval Committee and explained the proposal. On being asked by the Approval Committee, the representatives informed that they will not be dealing with ‘Restricted / Prohibited’ items. They further informed that one of their client has been presently operating from Jebel Ali Free Economic Zone, Dubai and they are interested to shift their operation to M/s. Arshiya FTW2Z. The items under Exim Code 0904 will be imported by them for 100% export only. ----- End of picture text -----

10.4. After due deliberations, the Approval Committee approved the proposal, subject to following terms & conditions:-

(i). | No export / import of any items will be allowed, which comes under “Prohibited/Restricted” items/Negative list under Import policy given in ITC(HS) Classification or any other law and/or covered under SCOMET list as per DGFT Notifications / Public Notice / Instructions issued from time-to-time. d= Page 9 of 10

(ii). Import of items under Exim Code 0904 shall be for 100% Export and no DTA sale of these items will be allowed.
(iii). The scope of authorized operations of the unit will be strictly as per Rule 18(5) of SEZ Rules, 2006.
(iv). Port restrictions as per DGFT Notifications / Public Notice / Instructions issued from timeto-time, shall be applicable.
(vv). Any sale in DTA shall be only in convertible foreign currency in terms of proviso to Rule 18(5) of SEZ Rules, 2006.
