Minutes of the 158 Unit Approval Committee Meeting of Kandla SEZ held on 18.06.2020 at 15:30 hrs. under the Chairmanship of Dr. Amiya Chandra, Development Commissioner, Kandla Special Economic Zone.

158.1 NEW UNIT APPLICATION

AGENDA ITEM NO. 158.1.1

Application for setting up of a unit in KASEZ namely M/s. Amax International Warehousing Pvt. Ltd, Regd. Office at 20, Silver Crust Bunglow, Near Auda Water Tank, Science City Road, Ahmedabad380060.

A proposal was submitted by M/s Amax International Warehousing Pvt. Ltd,Ahmedabad for setting up a unit in Kandla SEZ for warehousing activity.

Shri Hasmukh Patel, Director of the company explained their proposal. Shri Hasmukh Patel explained that they are sister concern unit of M/s. Akshar Plastic Inc., USA who were utilizing warehousing facilities of M/s. Mahamaya Construction & Engineer, a unit in KASEZ and they planned to import 200 containers every month but due to shortage of space of M/s. Mahamaya Construction & Engineer they could not carry out the business in large volume as expected. Shri Patel further stated that they require space of about 1.50 lakh sq. ft. in KASEZ and have seen Plot No. 5, 6, 9 & 10, Sector-II, KASEZ which suits their requirement of space i.e. about 16,280 sq. mtrs.

The Committee noted that the applicant has requested for warehousing of following items: -

The Committee noted that the applicant is already providing warehousing service of these items in KASEZ through third party warehousing facilities and due to shortage of space and other business hindrances, now they intend to start their own warehousing service activities.

The Committee further noted that the above items proposed to be warehoused by the unit are in primary forms and are free list. The Approval Committee after due deliberation decided to approve the proposal of warehousing service activity of above items subject to standard terms and conditions. The approval is also subject to the additional condition that the applicant should seek a prior approval of any additional items they intend to warehouse and submit KYC details of clients to the Office of the Development Commissioner before undertaking the authorised warehousing activity. Further, none of the items which are restricted or prohibited will be allowed to be warehoused and any restrictions on import/export of any items will apply. In case of any discrepancy/mismatch between the above ‘Description of Goods’ as provided by the Unit & ‘Description of goods as per DGFT Import Policy’, the later will prevail. It must be ensured that the items imported are in free list. In case of any movement of item from free list to restricted or negative, the firm will have to seek fresh approval of UAC before importing the item.

AGENDA ITEM NO. 158.1.2

Application for setting up of a unit in KASEZ namely M/s. Parekh Ventures, Plot No. 313, GIDC, Post Box No. 207, Mithi Rohar, Gandhidham - 370 201.

A proposal was submitted by M/s. Parekh Ventures, Gandhidham for setting up a unit in Kandla SEZ for trading and warehousing activity.

Nobody appeared before the Committee to explain their proposal. Therefore, the Approval Committee decided to defer the proposal for the next UAC meeting.

AGENDA ITEM NO. 158.1.3

Application for setting up of a unit for Service Activity for Processing of Agro Commodities and Trading Activity in KASEZ namely M/s LMP Overseas, 117, Shakti Shopping Center, Mundra Port Road, Mundra, Kutch 370421.

A proposal was submitted by M/s LMP Overseas, Mundra for setting up a unit in Kandla SEZ for service activity for processing of Agro commodities and trading activity.

Shri Anand Mehta, Authorised Representative of the unit explained their proposal. Shri Mehta explained that they are in the business of agro processing and want to set up a unit in KASEZ for processing of agro commodities and trading of various items. He further stated that their proposal was earlier discussed in the 109%& 116% UAC Meetings and the UAC in 109% UAC meeting approved four items in trading activity and in 116% UAC Meeting approved 04 items in manufacturing and 11 items in trading activity. He further stated that the said 11 items was for manufacturing activity but in the Minutes the items were approved in the trading activity. He further informed that they had participated in the E- auction of the property of M/s. Shri Chakra Udhyog Pvt. Ltd., Plot No. 287 to 293, Sector - IV, KASEZ and had been the successful bidder in the E- auction conducted by the Central Bank of India. He further stated that they have already submitted financial back ground of the applicant and informed that the net worth of both the partners are more than Rs. 20 crores. The Committee noted that their proposal was earlier discussed in the 109tk UAC meeting held on 16.02.2017 and in 116% UAC meeting held on 19.07.2017 wherein their proposal for 04 items for manufacturing and 15 items for trading activity was approved and it was decided that after receipt of the satisfactory furnishing of financial details, the case would be examined on file. The Committee also noted that there is change in the Partners wherein one of the Partner Shri Laljibhai M Patel has expired and in his place, his son Shri Rasikbhai L Patel has joined as Partner.

The Approval Committee after due deliberation decided to approve the proposal of manufacturing activity of above items except item mentioned at Sr. No. 11, because it was prohibited item and the firm decided to withdraw the item from the list and trading activity of above four items subject to standard terms and conditions. All other trading items and inputs for manufacturing items are in free list and also subject to condition that any restrictions on import/export of above items and its raw materials will

apply. In case of any discrepancy/mismatch between the above ‘Description of Goods’ as provided by the Unit & ‘Description of goods as per DGFT Import Policy’, the later will prevail. The above permission is also subject to further condition that the unit shall maintain separate accounts for manufacturing and trading activity and earmark separate space for both the activities. Further, the unit will also comply with the conditions of exports as specified by the DGFT and also the Spices Board of India in respect of some of the manufacturing items.

158.2 REQUEST FOR BROADBANDING

AGENDA ITEM NO. 158.2.1

Request for broad banding of additional items in their existing Letter of Approval No. KASEZ/IA/02/2004-05 dated 13.05.2004 of M/s Strands Textile Mills Pvt. Ltd., KASEZ.

Nobody appeared before the Committee to explain their proposal. Therefore, the Approval Committee decided to defer the proposal for the next UAC meeting.

Broad-banding of additional items in Trading Activity - Request of M/s. Apex Lubricant, KASEZ.

M/s. Apex Lubricant, KASEZ is an approved unit with LoA No. KASEZ/1A/08/2009-10/2820 dated 10.06.2009 as amended, for warehousing & trading activity.

Shri Bhupendrasinh Jadeja, Proprietor of the company explained their proposal. Shri Jadeja stated that they are doing trading and warehousing activities in KASEZ and also in the business of shipping in Gandhidham in the name of Bapu’s Group and have been supplying grease, lubricating oil, etc. and have also got DG Shipping licence for bunkers. Now, they want to add above items for trading activity.

The Committee noted that the items at Sr. No. 4 & 5 are falling under restricted category for import and the firm was asked whether they would like to withdraw the restricted item of the list or would like to take the agenda to BoA. Firm replied that they would like the agenda to be placed before BoA for consideration.

Therefore the Approval Committee after due deliberation decided to defer their proposal with direction to the DC office to refer their proposal to Board of Approval for appreval of restricted items. conithevakanr

AGENDA ITEM NO. 158.2.3

Broad banding of Manufacturing Activity (Addition of one new product in unit’s LoA) - Request of M/s. Dyna Glycols Pvt. Ltd., KASEZ.

M/s. Dyna Glycols Pvt. Ltd., KASEZ is an approved unit with LoA dated 31.05.2006 issued from F. No. KASEZ/IA/07/2006-07/1131 for manufacturing activity, as amended.

Now, the said unit has requested for broad banding of following item for manufacturing activity:

The Committee noted that the two raw materials for the proposed broad-banded item are falling under the category of Hazardous substances and further noted that unit is already having GPCB permission for storage /handling/usage of these items.

The Approval Committee after due deliberation decided to approve the proposal for manufacturing activity of above item subject to standard terms and conditions and also subject to the condition that the above broadbanded item will be 100% exported.

AGENDA ITEM NO. 158.2.4

Broad banding of Manufacturing/ processing Activity (Addition of 01 new product in unit’s LoA) and addition of packaging services— Request of M/s. Milak Warehouse, KASEZ.

M/s Milak Warehouse, KASEZ is an approved unit with LoA No. 1836/2001-02 dated 10.08.2001, for Trading, Manufacturing and warehousing service activity, as amended.

Now the unit has requested for broad-banding of their LoA for manufacturing/ processing activity of following item: -

The unit also requested for broad banding of packaging services under Rule 18(5) & 76 of SEZ Rules, 2006.

Shri Vivek Milak, Partner of the firm explained their proposal. Shri Milak explained that they are in the business of manufacturing, trading and warehousing in KASEZ and further stated that they want to include Salt in their manufacturing activity. He further stated that they want to add packaging services in their warehousing activities.

The Committee asked whether they are submitting APRs separately for their manufacturing, trading and warehousing activities and whether they have demarcated the space for the each of the said activities.

In reply, Shri Milak stated that they are submitting single APR mentioning separately the details of manufacturing, trading and 9

warehousing activities and further stated that they are having separate spaces for manufacturing, trading and warehousing activities.

The Approval Committee after due deliberation decided to approve the proposal for manufacturing/processing activity of salt subject to standard terms and conditions and also subject to the condition that the unit will submit map demarcating separate space for manufacturing, trading and warehousing activities. The Committee also directed that all the raw material for manufacturing/processing of salt will only be procured indigenously and none of the raw material will be allowed to be imported. Regarding packaging services, the Committee decided to defer their proposal with direction to the unit to furnish separate APRs for manufacturing, trading and warehousing activities. Further, in case of any discrepancy/mismatch between the above ‘Description of Goods’ as provided by the Unit & ‘Description of goods as per DGFT Import Policy’, the later will prevail.

Permission to supplies trading goods to Customs Bonded Warehouses and L-1 Excise Bond Warehouses: Request of M/s Dynamic Duty Free Warehouses, KASEZ

M/s Dynamic Duty Free Warehouses, KASEZ is an approved unit for warehousing service activity & construction & related services vide Letter of Approval No. 034/2010-11 dated 29.11.2010, as amended. Further, their LOA was broad banded for trading activities vide letter dated 05.07.2019.

Now, the said unit has requested to grant them permission of supplying of traded goods to Customs Bonded Warehouses and L-1 Excise Bond Warehouses. The Committee noted that Rule 46(13) of SEZ Rules, 2006 provides for transfer of goods to a bonded warehouse and the DoC vide Instruction No. 63 dated 10.08.2010 has prescribed procedure regarding removal of goods to bonded warehouse under Rule 46(13) of SEZ Rules, 2006. The Committee noted that Department of Commerce vide Instruction No. 89 dated 17.05.2018 had issued guidelines regarding change in shareholding pattern, name change pertaining to SEZ units wherein change of name, change of shareholding pattern, etc. may be undertaken with the prior approval of Approval Committee in respect of units. The Committee further noted that the change in share in profit/loss of the firm is below 10%. Therefore, the Approval Committee after due deliberation decided to approve and take on record the proposal of change in profit/loss sharing ratio of the firm as above subject to following conditions:

Seamless continuity of the SEZ _ activities with unaltered responsibilities and obligations for the altered unit entity.
Fulfilment of all eligibility criteria applicable to unit, including security clearances etc. by the altered unit entity and its constituents.
Applicability of and compliance with all Revenue/Company Affairs/ SEBI etc. rules which regulate issues like capital gains, equity change, transfer, taxability etc.
Full financial details relating to change in equity/merger, demerger, amalgamation or transfer in ownership etc. shall be furnished immediately to Member (IT), CBDT, Department of Revenue and to the Jurisdictional Authority.
The Assessing Officer shall have the right to assess the taxability of the gain/loss arising out of the transfer of equity or merger, demerger, amalgamation, transfer and ownerships etc as may be applicable and eligibility for deduction under relevant sections of the Income Tax Act, 1961.

The applicant shall comply with relevant State Government laws, including those relating to lease of land, as applicable.
The unit shall furnish details of PAN and jurisdictional assessing officer of the unit to CBDT.
