कारपोरेट कार्य मंत्रालर् अजधसूचना नई दिल्ली, 24 िनवरी, 2024 सा.का.जन. 61(अ).—केन्द्रीर् सरकार, कंपनी अजधजनर्म, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 23 की उपधारा (3) द्वारा प्रित्त िजिर्ों का प्रर्ोग करते हुए, जनम् नजलजखत जनर्म बनाती है, अथायत् :-

1. संजिप् त नाम और प्रारंभ.- (1) इन जनर्मों का संजिप् त नाम कंपनी (अनुज्ञेर् अजधकाठरताओं में साधारण िेर्र सूचीबद्ध करना) जनर्म, 2024 है। (2) र्े जनर्म रािपत्र में उनके प्रकािन की तारीख को प्रवृत्त होंगे।
2. पठरभाषाएं.- (1) इन जनर्मों में, िब तक दक संिभय से अन्द् र्था अपेजित न हो,-
   (क) ‘‘अजधजनर्म’’ से कंपनी अजधजनर्म, 2013 (2013 का 18) अजभप्रेत है;
   (ख) “प्राजधकरण” से अंतरायष्ट्रीर् जवत्तीर् सेवा केंर प्राजधकरण अजधजनर्म, 2019 (2019 का 50) की धारा 4 के अधीन स्ट्थाजपत अंतरायष्ट्रीर् जवत्तीर् सेवा केंर प्राजधकरण अजभप्रेत है;
   (ग) ‘‘फीस’’ से ऐसी फीस अजभप्रेत है िो कंपनी (रजिस्ट् रीकरण कार्ायलर् और फीस) जनर्म, 2014 के अधीन जवजनर्ियष् ट है;
   (घ) ‘‘अनुज्ञेर् अजधकाठरता’’ से पहली अनुसूची में जवजनर्ियष्ट अजधकाठरता अजभप्रेत है;

(ङ) “अनुसूची” से जनर्मों में संलग्न अनुसूची अजभप्रेत है; (च) ‘‘स्ट् कीम’’ से जवत्त मंत्रालर् में केंरीर् सरकार द्वारा िारी की गई भारत में जनगजमत कंपजनर्ों के साधारण िेर्रों का अंतरायष् रीर् एक् सचेंिों में प्रत् र्ि सूचीकरण स्ट् कीम अजभप्रेत है।
(2) उन िब् िों और पिों के, िो इसमें प्रर्ुक् त है, तथा इन जनर्मों में पठरभाजषत नहीं हैं ककंतु अजधजनर्म में र्ा कंपनी (पठरभाषाओं के ब् र्ौरों का जवजनिेि) जनर्म, 2014 र्ा स्ट् कीम में पठरभाजषत है, वहीं अथय होंगे िो अजधजनर्म, जनर्मों र्ा स्ट् कीम में है। 3. लागू होना.- इन जनर्मों के उपबंध जनम्नजलजखत पर लागू होंगे- (क) असूचीबद्ध पजब्लक कंपजनर्ां; (ख) सूचीबद्ध पजब्लक कंपजनर्ां, िहां तक वे प्रजतभूजत और जवजनमर् बोडय र्ा प्राजधकरण द्वारा इस संबंध में िारी दकए गए दकन्द्ही अन्द्र् जवजनर्म र्ा जनिेिों के अनुसरण में हैं। िो अनुज्ञेर् अजधकाठरता में अनुज्ञात स्ट्टॉक एक्सचेंिो पर सूचीकरण के प्रर्ोिानाथय अपनी प्रजतभूजतर्ां िारी करते हैं। 4.

संबंध में िारी दकए गए दकन्द्ही अन्द्र् जवजनर्म र्ा जनिेिों के अनुसरण में हैं। िो अनुज्ञेर् अजधकाठरता में अनुज्ञात स्ट्टॉक एक्सचेंिो पर सूचीकरण के प्रर्ोिानाथय अपनी प्रजतभूजतर्ां िारी करते हैं। 4. अनुज्ञेर् अजधकाठरता में अनुज्ञात स्ट् टॉक का एक् सचेिों पर सूचीबद्ध.- (1) असूचीबद्ध पजब्लक कंपनी, िो जनर्म 5 के अधीन नहीं है और जिसके पास कोई भी आंजिक रूप से प्रित्त िेर्र नहीं है, वह अनुज्ञेर् अजधकाठरता में दकसी स्ट् टॉक एक् सचेिों पर सूचीबद्ध होने के प्रर्ोिन के जलए साधारण िेर्र िारी कर सकती है।
स्ट् पष् टीकरण - इस उप-जनर्म के प्रर्ोिनों के जलए साधारण िेर्रों के िारी करने में, अनुज्ञेर् अजधकाठरता में स्ट् टॉक एक् सचेंिों पर पजब्लक कंपनी के वतयमान िेर्रधारकों द्वारा साधारण िेर्रों के जवक्रर् के जलए प्रस्ट् ताव सजम्मजलत होगा।
(2) उप-जनर्म (1) में जनर्ियष्ट असूचीबद्ध पजब्लक कंपनी र्ा इसके वतयमान िेर्रधारक स्ट् कीम की अपेिाओं का भी अनुपालन करेंगे। (3) दकसी असूचीबद्ध पजब्लक कंपनी द्वारा, िो अपने साधारण िेर्रों को प्रजतभूजत संजविा (जवजनर्मन) अजधजनर्म, 1956 (1956 का 42) की धारा 2 खण्ड (च) के अधीन र्था पठरभाजषत दकसी मान्द्र्ता प्राप्त स्ट्टॉक एक्सचेंि में भी सूचीबद्ध कराना चाहती है, ऐसी ितों के अनुसरण में, िो भारतीर् प्रजतभूजत और जवजनमर् बोडय द्वारा जवजनर्ियष्ट की गई है, अपने साधारण िेर्र को अनुज्ञेर् अजधकाठरता में अनुज्ञेर् स्ट्टॉक एक्सचेंि पर सूचीबद्ध करेंगी। (4) असूचीबद्ध पजब्लक कंपनी िूसरी अनुसूची में जवजनर्ियष्ट ई-प्ररूप लीप -1 में िुल्क के साथ, उसे अंजतम रूप प्राप् त होने और अनुज्ञात एक् सचेंि में फाइल दकए िाने के सात दिन की अवजध के अंिर प्रोस्ट्पेक्टस फाइल करेगी।

ब्लक कंपनी िूसरी अनुसूची में जवजनर्ियष्ट ई-प्ररूप लीप -1 में िुल्क के साथ, उसे अंजतम रूप प्राप् त होने और अनुज्ञात एक् सचेंि में फाइल दकए िाने के सात दिन की अवजध के अंिर प्रोस्ट्पेक्टस फाइल करेगी।
(5) अनुज्ञेर् अजधकाठरता में दकसी स्ट्टॉक एक्सचेंि पर कंपनी के साधारण िेर्र के सूचीबद्ध होने के पश्चात्, दकन्द्हीं अन्द्र् लेखा मानक, जिनका अनुपालन संबंजधत प्रजतभूजत जवजनमर्क र्ा संबंजधत स्ट्टॉक एक्सचेंि, िैसा भी मामला हो, के समि ििय दकए गए जवत्तीर् ब्र्ौरों को बनाने के जलए उनके द्वारा करना अपेजित है, के अजतठरि कंपनी अपने जवत्तीर् ब्र्ौरे बनाने के जलए कंपनी (भारतीर् लेखांकन मानक) जनर्म, 2015 के उपाबंध में र्था जवजनर्ियष्ट भारतीर् लेखांकन मानकों का भी अनुपालन करेगी।
5. कजतपर् अपात्र कंपजनर्ां: कोई कंपनी इन जनर्मों के अनुसार साधारण िेर्र िारी नहीं कर सकती र्दि वह-’
(क) धारा 8 के अधीन रजिस्ट् रीकृत र्ा अजधजनर्म की धारा 406 के अधीन जनजध के रूप में घोजषत कंपनी है; (ख) प्रत्र्ाभूजत द्वारा पठरसीजमत की गई कंपनी जिसके पास िेर्र पूंिी है; (ग) अजधजनर्म के अध्र्ार्-V और उसके अधीन बनाए गए जनर्मों के अनुसार लोगों से प्राप् त कोई बकार्ा िमा राजि रखती है; (घ) नकारात्मक िुद्ध मूल्र् है; स्ट्पष्टीकरण.- इस खंड के प्रर्ोिनों के जलए, “िुद्ध मूल्र्” का िो अथय अजधजनर्म की धारा 2 के खंड (57) र्े दिर्ा गर्ा है वही होगा। (ङ) दकसी बैंक र्ा सावयिजनक जवत्तीर् संस्ट्थान र्ा अपठरवतयनीर् जडबेंचरधारक र्ा दकसी अन्द्र् प्रजतभूजतकृत लेनिार की बकार्ा राजि के भुगतान में चूक की हो:

परंतु र्ह दक र्ह खंड उस जस्ट्थजत में लागू नहीं होगा िबदक कंपनी ने अपनी चूक को सुधार जलर्ा है और चूक को सुधारने की तारीख से लेकर अब तक िो वषय की अवजध बीत गई हो; (च) अजधजनर्म के अधीन समापन र्ा दिवाला और िोधन अिमता संजहता, 2016 (2016 का 31) के अधीन कोई समाधान र्ा समापन के जलए आवेिन दकए िाने पर तथा अजधजनर्म के अधीन समापन र्ा दिवाला और िोधन अिमता संजहता 2016 (2016 का 31) के अधीन समाधान अथवा समापन की कोई कार्यवाही िारी रहने पर;
(छ) धारा 92 के अधीन की वार्षयक जववरजणका अथवा धारा 137 के अधीन के जवत्तीर् जववरण का समर्ानुसार फाइल करने में चूक की है।

2. Definitions.— (1) In these rules, unless the context otherwise requires,— (a) “Act” means the Companies Act, 2013 (18 of 2013); (b) “Authority” means the International Financial Services Centres Authority established under section 4 of the International Financial Services Centres Authority Act, 2019 (50 of 2019); (c) “fees” means fees as specified under the Companies (Registration Offices and Fees) Rules, 2014; (d) “permissible jurisdiction” means a jurisdiction specified in the First Schedule;
   (e) “Schedule” means the Schedule annexed to these rules; (f) “Scheme” means the Direct Listing of Equity Shares of Companies Incorporated in India on International Exchanges Scheme made by the Central Government in the Ministry of Finance.
   (2) The words and expressions used herein and not defined in these rules but defined in the Act or in the Companies (Specification of Definitions Details) Rules, 2014 or the Scheme, shall have the meanings as respectively assigned to them in the Act, Rules or in the Scheme.

Application.- The provisions of these rules shall apply to — (a) unlisted public companies; (b) listed public companies, so far as they are in accordance with regulations framed or directions issued in this regard by the Securities and Exchange Board or the Authority,

Listing on permitted stock exchanges in permissible jurisdictions.- (1) An unlisted public company, which does not fall under rule 5 and which has no partly paid-up shares, may issue equity shares for the purposes of listing on a stock exchange in a permissible jurisdiction. Explanation. — For the purposes of this sub-rule, issue of equity shares shall include, offer for sale of equity shares by existing shareholders of the unlisted public company for listing on a stock exchange in a permissible jurisdiction.
   (2) The unlisted public company or its existing shareholders referred to in sub-rule (1) shall also comply with the requirements of the Scheme.

(3) Listing of equity shares on permitted stock exchanges in permissible jurisdiction by an unlisted public company which also intends to get its equity shares listed with any recognised stock exchange as defined under clause (f) of section 2 of the Securities Contracts (Regulation) Act, 1956 (42 of 1956) shall also be in compliance with such conditions as may be specified by the Securities and Exchange Board of India.
4) The unlisted public company shall file the prospectus in e-Form LEAP-1 specified in the Second Schedule along with the fees within a period of seven days after the same has been finalised and filed in the permitted exchange. (5) After the listing of the equity shares of a company on any of the stock exchanges in a permissible jurisdiction, the company shall comply with Indian Accounting Standards as specified in the Annexure to the Companies (Indian Accounting Standards) Rules, 2015 in preparation of their financial statements, in addition to any other accounting standard, which they may be required to comply for the preparation of the financial statements filed before the securities regulator concerned, or with the stock exchange concerned, as the case may be.

Certain companies not eligible.- A company shall not be eligible for issuing its equity shares for listing in accordance with these rules, in case it — (a) has been registered under section 8 or declared as Nidhi under section 406 of the Act; (b) is a company limited by guarantee and also having share capital; (c) has any outstanding deposits accepted from the public as per Chapter V of the Act and rules made thereunder; (d) has a negative net worth; Explanation.— For the purposes of this clause, the expression “net worth” shall have the same meaning as assigned to it under clause (57) of section 2 of the Act; (e) has defaulted in payment of dues to any bank or public financial institution or non-convertible debenture holder or any other secured creditor:
Provided that this clause shall not apply if the company had made good the default and a period of two years had lapsed since the date of making good the default; (f) has made any application for winding-up under the Act or for resolution or winding-up under the Insolvency and Bankruptcy Code, 2016 (31 of 2016) and in case any proceedings against the company for winding-up under the Act or for resolution or winding-up under the Insolvency and Bankruptcy Code, 2016 (31 of 2016) is pending;
