कारपोरेट कायय मंत्रालय ऄजधसूचना नइ ददल्ली, 5 ऄगस्ट्त, 2021 सा.का.जन. 539(ऄ).—केंद्रीय सरकार, कंपनी ऄजधजनयम, 2013 (2013 का 18) की धारा 469 की ईपधारा (1) और (2) के साथ पठित, धारा 2 के खंड (76) के ईपखंड (ix), खंड (77) के ईपखंड (iii) द्वारा प्रद्त्त िजियों का प्रयोग करते हुए कंपनी (पठरभाषा ब्यौरों के जिजनदेि) जनयम, 2014 का और संिोधन करने के जलए जनम्नजलजखत जनयम बनाती है, ऄथायत्:-

1. संजिप्त नाम और प्रारंभ.- (1) आन जनयमों का संजिप्त नाम कंपनी (पठरभाषा ब्यौरों के जिजनदेि) तीसरा संिोधन जनयम, 2021 है।
   (2) ये रािपत्र में ईनके प्रकािन की तारीख को प्रिृत होंगे।

कंपनी (पठरभाषा ब्यौरों के जिजनदेि) जनयम, 2014 में, जनयम 2 के ईपजनयम (1) के खंड (ि) में जनम्नजलजखत स्ट्पष्टीकरण ऄंत:स्ट्थाजपत दकया िाएगा, ऄथायत्:- “स्ट्पष्टीकरण.- आस खंड के प्रयोिन के जलए, प्रजतभूजतयों की आलेक्ट्राजनक अधाठरत पेिकि, आसके ऄंिदान या जििेष अर्थथक िोन ऄजधजनयम, 2005 (2005 का 28) की धारा 18 के तहत स्ट्थाजपत ऄंतरायष्ट्रीय जितीय सेिा केन्द्द्रों में प्रजतभूजतयों के सूचीकरण को आस ऄजधजनयम की धारा 2 के खंड (42) के प्रयोिन के जलए ‘आलेक्ट्रॉजनक मोड’ के रुप में नहीं माना िाएगा।’’

31 माचय, 2014 के द्वारा प्रकाजित दकए गए थे और संख्या सा.का.जन. 123(ऄ), तारीख 19 फरिरी, 2021 द्वारा आनमें ऄंजतम बार संिोधन दकया गया।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 5th August, 2021 G.S.R. 539(E).—In exercise of the powers conferred by sub-clause (ix) of clause (76),
sub-clause (iii) of clause (77) of section 2, read with sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Specification of definitions details) Rules, 2014 namely :-

1. Short title and commencement- (1) These rules may be called the Companies (Specification of definitions details) Third Amendment Rules, 2021. (2) They shall come into force on the date of their publication in the Official Gazette.

rule 2, the following explanation shall be inserted, namely:- “Explanation.- For the purposes of this clause, electronic based offering of securities, subscription thereof or listing of securities in the International Financial Services Centres set up under section 18 of the Special Economic Zones Act, 2005 (28 of 2005) shall not be construed as ‘electronic mode’ for the purpose of clause (42) of section 2 of the Act.”.
