कारपोरेट कायय मंत्रालय ऄजधसूचना नइ ददल्ली, 5 ऄगस्ट्त, 2021 सा.का.जन. 538(ऄ).—केंद्रीय सरकार, कंपनी ऄजधजनयम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 380 की ईपधारा (1) के खंड (ग) और खंड (ि) और ईपधारा (3), धारा 381 की ईपधारा (1) के खंड (क) और ईपधारा (3), धारा 385, धारा 386 के खंड (क), धारा 389 और धारा 390 द्वारा प्रदत्त िजियों का प्रयोग करते हुए, कंपनी (जिदेिी कंपजनयों का रजिस्ट्रीकरण) जनयम, 2014 में संिोधन करने के जलए जनम्नजलजखत जनयम बनाती है, ऄथायत्:

1. संजिप्त नाम और प्रारंभ.- (1) आन जनयमों का संजिप्त नाम कंपनी (जिदेिी कंपजनयों का रजिस्ट्रीकरण) संिोधन
   जनयम, 2021 है।
   (2) ये जनयम रािपत्र में ईनके प्रकािन की तारीख को प्रिृत्त होंगे।

कंपनी (जिदेिी कंपजनयों का रजिस्ट्रीकरण) जनयम, 2014 में, जनयम 2 के ईपजनयम (1) खंड (ग) में जनम्नजलजखत स्ट्पष्टीकरण ऄंत:स्ट्थाजपत दकया िाएगा, ऄथायत्:-
“स्ट्पष्टीकरण.- आस खंड के प्रयोिन के जलए, प्रजतभूजतयों की आलेक्ट्राजनक अधाठरत पेिकि, आसके ऄंिदान या जििेष अर्थथक िोन ऄजधजनयम, 2005 (2005 का 28) की धारा 18 के तहत स्ट्थाजपत ऄंतरायष्ट्रीय जित्तीय सेिा केन्द्द्रों में प्रजतभूजतयों के सूचीकरण को आस ऄजधजनयम की धारा 2 के खंड (42) के प्रयोिन के जलए ‘आलेक्ट्रॉजनक मोड’ के रुप में नहीं माना िाएगा।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 5th August, 2021 G.S.R. 538(E).—In exercise of the powers conferred by clause (c) and clause (h) of sub-section (1) and sub-section (3) of section 380, clause (a) of sub-section (1) and sub-section (3) of section 381, section 385, clause (a) of section 386, section 389 and section 390, read with section 469 of the Companies Act, 2013 (18 of 2013), Central Government hereby makes the following rules to amend the Companies (Registration of Foreign Companies) Rules, 2014 namely :-

1. Short title and commencement- (1) These rules may be called the Companies (Registration of Foreign Companies) Amendment Rules, 2021. (2) They shall come into force on the date of their publication in the Official Gazette.

(1) These rules may be called the Companies (Registration of Foreign Companies) Amendment Rules, 2021. (2) They shall come into force on the date of their publication in the Official Gazette. 2. In the Companies (Registration of Foreign Companies) Rules, 2014, in clause (c) of sub-rule (1) of
rule 2, the following explanation shall be inserted, namely:- “Explanation.- For the purposes of this clause, electronic based offering of securities, subscription thereof or listing of securities in the International Financial Services Centres set up under section 18 of the Special Economic Zones Act, 2005 (28 of 2005) shall not be construed as ‘electronic mode’ for the purpose of clause (42) of section 2 of the Act.”.
