फा. सं. आई.बी.बी.आई./2025-26/िी.एन./आर.ई.िी.127.—भारतीय दिवाला और िोधन अक्षमता बोडड, दिवाला और िोधन अक्षमता संजिता, 2016 (2016 का 31) की धारा 240 के साथ पठित धारा 196 की उपधारा (1) के खण्ड (न) द्वारा प्रित्त िजियों का प्रयोग करते हुए, भारतीय दिवाला और िोधन अक्षमता बोडड (कारपोरेट व्यजियों के जलए दिवाला समाधान प्रदिया) जवजनयमन, 2016 का और संिोधन करने के जलए जनम्नजलजखत जवजनयम बनाता िै, अथाडत्: - 1.
(1) इन जवजनयमों का संजक्षप्त नाम भारतीय दिवाला और िोधन अक्षमता बोडड (कारपोरेट व्यजियों के जलए दिवाला समाधान प्रदिया) (चौथा संिोधन) जवजनयम, 2025 िै ।
(2) ये रािपत्र में प्रकािन की तारीख को प्रवृत्त िोंगे ।

THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 2. भारतीय दिवाला और िोधन अक्षमता बोडड (कारपोरेट व्यजियों के जलए दिवाला समाधान प्रदिया) जवजनयमन, 2016 (जिन्िें इसमें इसके पश्चात् ‘मूल जवजनयम’ किा गया िै) के जवजनयम 18 में, उप-जवजनयम (4) के पश्चात् जनम्नजलजखत उप-जवजनयम अंतःस्ट्थाजपत दकया िाएगा, अथाडत्:- “(5) सजमजत, समाधान व्यावसाजयक को यि जनिेि िे सकेगी दक वि अंतठरम जवत्त प्रिाताओं को सजमजत की ऐसी बैिक (बैिकों) में, िो सजमजत जवजनजश्चत करे, मतिान अजधकारों के जबना पयडवेक्षकों के रूप में उपजस्ट्थत िोने के जलए आमंजत्रत करे ।” 3. मूल जवजनयमों के जवजनयम 36क में, उप-जवजनयम (1) के पश्चात्. जनम्नजलजखत उप-जवजनयम अंतःस्ट्थाजपत दकया िाएगा, अथाडत्:- “(1क) समाधान व्यावसाजयक, सजमजत के अनुमोिन से, कारपोरेट ऋणी के जलए समग्र रूप से या कारपोरेट ऋणी की एक या अजधक आजस्ट्तयों के जलए या िोनों के जलए समाधान योिनाएं प्रस्ट्तुत करने के जलए रूजच की अजभव्यजि आमंजत्रत कर सकेगा ।” 4. मूल जवजनयमों के जवजनयम 36ख में, उप-जवजनयम (6क) का लोप दकया िाएगा । 5. मूल जवजनयमों के जवजनयम 38 में,-

(i) उप-जवजनयम (1) में, क. खंड (ख) में, “प्राथजमकता िी िाएगी ।” िब्िों और जचह्न के स्ट्थान पर “प्राथजमकता िी िाएगी:” िब्ि और जचह्न रखा िाएगा ।

ख. खंड (ख) के पश्चात्, जनम्नजलजखत परन्तुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्:- “परन्तु ििां यदि दकसी समाधान योिना में चरणों में भुगतान करने का उपबंध िै विां ऐसे जवत्तीय लेनिारों को भी, जिन्िोंने समाधान योिना के पक्ष में मतिान निीं दकया था, ऐसे जवत्तीय लेनिारों के मुकाबले जिन्िोंने योिना के पक्ष में मतिान दकया था, प्रत्येक चरण में कम से कम आनुपाजतक आधार पर और प्राथजमकता के आधार पर भुगतान दकया िाएगा ।” 6. मूल जवजनयमों के जवजनयम 39 में, (i) उप-जवजनयम (2) में, “िो संजिता और उसके अधीन बनाए गए जवजनयमों की अपेक्षाओं का अनुपालन करती िै” िब्िों का लोप दकया िाएगा । (ii) उप-जवजनयम (2) में, “अपने द्वारा संप्रेजक्षत” िब्िों के स्ट्थान पर “गैर-अनुपालक योिनाओं और अपने द्वारा संप्रजक्षत” िब्ि रखे िाएंगे । (iii) उप-जवजनयम (3) के खंड (क) में, “उप-जवजनयम (2) के अधीन प्राप्त समाधान योिनाओं का” िब्िों के स्ट्थान पर “उप-जवजनयम (2) के अधीन प्राप्त ऐसी समाधान योिनाओं का, िो संजिता और उसके अधीन बनाए गए जवजनयमों की अपेक्षाओं का अनुपालन करती िैं,” िब्ि और जचह्न रखे िाएंगे । रजव जमत्तल, अध्यक्ष [जवज्ञापन-III/4/असा./123/2025-26]

NOTIFICATION New Delhi, the 26th May, 2025 Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) (Fourth Amendment) Regulations, 2025.

F. No. IBBI/2025-26/GN/REG127.—In exercise of the powers conferred by clause (t) of sub- section (1) of section 196 read with section 240 of the Insolvency and Bankruptcy Code, 2016 (31 of 2016), the Insolvency and Bankruptcy Board of India hereby makes the following regulations to further amend the Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) Regulations, 2016, namely:-

1. (1) These regulations may be called the Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) (Fourth Amendment) Regulations, 2025. (2) They shall come into force on the date of their publication in the Official Gazette.

In the Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) Regulations, 2016 (hereinafter referred to as ‘the principal regulations’), in regulation 18, after sub-regulation (4), the following sub-regulation shall be inserted, namely:- “(5) The committee may direct the resolution professional to invite the providers of interim finance to attend as observers without voting rights, such meeting(s) of the committee, as the committee may decide.” 3. In the principal regulations, in regulation 36A, after sub-regulation (1), the following sub-regulation shall be inserted, namely: - “(1A) The resolution professional may, with the approval of the committee, invite expression of interest for submission of resolution plans for the corporate debtor as a whole, or for sale of one or more of assets of the corporate debtor, or for both.” 4. In the principal regulations, in regulation 36B, sub-regulation (6A) shall be omitted. 5. In the principal regulations, in regulation 38,

in sub-regulation (2), the words “which comply with the requirements of the Code and regulations made thereunder”, shall be omitted.
