Violation Details/Nature of Violation Rule 5(2) of Nidhi Rules, 2014 As per Sec. 406(1) of the Companies Act, 2013, in this section, “Nidhi" or "Mutual Benefit Society" means a company which the Central Government may, by notification in the Official Gazette, declare to be a Nidhi or Mutual Benefit Society, as the case may be. As per Rule 5(2) of Nidhi Rules, 2014, "Within ninety days from the close of the first financial year after its incorporation and where applicable, the second financial year, Nidhi shall file a return of statutory compliances in Form NDFI-1 along with such fee as provide in Companies (Registration Offices and Fees) Rules, 2014 with the Registrar duly certified by a company secretary in practice or a chartered accountant in practice or a cost accountant in practice" . The Registrar of Companies, Chennai vide letter dated 23.02.2026 had reported that the company had filed GNL-1 vide SRN: ACl193018 dated 10.01.2026. ROC has further reported that this is the fhst offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. At the hearing held on 17.03.2026, the Authorized Representative of the Applicants had reiterated the submissions made in the application and prayed to take a lenient view. 5. That taking into consideration the submissions made, facts of the case and the report of Registrar of Companies, Chennai dated 23.02.2026, the following compounding fees were directed to be paid as pre-.condition for compounding the above said offence committed by the applicants.
