Violation Details / Nature of Violation Rule 66) of Nidhi Rules, 2014 As per Sec. 406(1) of the Companies Act, 2013, “Nidhi” or “Mutual Benefit Society" means a company which the Central Government may, by notification in the Official Gazette, declare to be a Nidhi or Mutual Benefit Society, as the case may be. As per Rule 66) of Nidhi Rules, 2014, no Nidhi issue or cause to be issued any advertisement in any form for soliciting deposit: Provided that private circulation of the details of fixed deposit schemes among the members of the Nidhi carrying the words "for private circulation to members only" shall not be considered to be an advertisement for soliciting deposits. The Ministry, wtale processing the NDH-4 filed by the company vide SRN: R67316620 observed that the company has maintained a website as on 14.06.2023 in which various schemes like Deposits and loans are advertised, in violation of Rule 6G) of Nidhi Rules, 2014.

The Registrar of Companies, Chennai Vide letter dated 07.01.2026 had reported that the company had filed Form GNL-1 vide SRN: AB9236514 dated 01.01.2026. ROC further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, ROC has conveyed no objection for compounding the violation. 3. The applicants, in the application submitted for compounding the said offence, by admitting the same, stated that the offence committed was not willful or deliberate and prayed to compound the offence. 4. At the hearing held on 18.02.2026, the Authorized Representatives of the Applicants had reiterated the submissions made in the application and pleaded to take a lenient view 5. That taking into consideration the submissions made, facts of the case and the report of Registrar of Companies, Chennai dated 07.01.2026, the following compounding fees were directed to be paid as pre-condition for compounding the above-said offence committed by the applicants. That pursuant to the above directions, the applicants have remitted the compounding fees imposed and submitted Receipts evidencing payment of compounding fees as detailed below:
