Senthil Kumar Practicing Company Secretary ORDBR This is an application filed under Section 441 of the Compardes Act, 2013 by the above applicants for compounding of offence conuritted under Sec. 96(1) of the Companies Act, 2013 Violation Details / Nature of Violation Sec. 96(1) of the Companies Act, 2013 As per Section 96(1) of the Companies Act, 2013, every company other than one person company shall in each year hold in addition to any other meetings, a general meeting as its annual general meeting and shall specify the meeting as such in the notices calling it, and not more than £Hteen months shall elapse between the date of one annual general meeting of a company and that of the date of one annual general meeting of a company and the next. The company has not conducted AGM for the Financial year ended 31.03.2024 on or before 30.09.2024. The company has held the AGM belatedly on 30.12.2024, thereby contravened the provisions of Sec.96 of the Companies Act, 2013

The applicants have stated in the application that the delay in conducting AGM was due to resignation of Auditors, the finalization of accounts got delayed and prayed to compound the offence. 4. At the hearing held on 09.03.2026, the Authorized Representative of the Applicants had reiterated the submissions made in the application and pleaded to take a lenient view 5. That taking into consideration the submissions made, facts of the case and the = report of Registrar of Companies, Coimbatore dated 20.02.2026, the following compounding fees were directed to be paid as pre-condition for compounding the above said offence committed by the applicants. h

The Company is directed to give intimation to the Registrar of Companies concerned within 7 days from the date on which the offence is so compounded in compliance of Sub-Section (3)(b) of Section 441 of the Companies Act, 2013 and the company shall also file this order as per the provisions of Section 441(4) read with Section 403 of the Companies Act, 2013 in dorm No. 1NC-28 within 30 days from the date of receipt of this order.
