Violation Details / Nature of Violation Sec. 96(1)=f- the As per Section 96(1) of the Companies Act, 2013, every company other than one person company shall in each year hold in addition to any other meetings, a general meeting as its annual general meeting and shall specify the meeting as such in the notices calling it, and not more than fifteen months shall elapse between the date of one annual general meeting of a company and that of the date of one annual general meeting of a company and the next. Companies Act, 2013 The company has not conducted the AGM for the Financial year ended 31.03.2023 & 31.03.2024 on or before 30.09.2023 & 30.09.2024. The company has held the said two AGM belatedly on 30.03.2024 & 20.05.2025, respectively, thereby contravened the provisions of Sec.96 of the Companies Act, 2013. 2.

ROC has further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. The applicants have stated in the application that the delay in conducting AGM was due to unavailability of employees in the company & certain unforeseen circumstances, which were beyond the control of management, resulted in non- completion of financial statements in time. The company has also prayed to compound the offence. 4. That taking into consideration the submissions made, facts of the case and the report of Registrar of Companies, Chennai dated 19.02.2026, the following compounding fees were directed to be paid as pre-condition for compounding the above said offence committed by the applicants.
