Abhilash, Advocate ORDER This is an application filed under Section 441 of the Comparaes Act, 2013 by the above applicants for compounding of offence under Sec. 96(1) of the (_’omparaes Act, 2013 Violation Details / Nature of Violation Sec. 96(1) of the Companies Act, 2013 As per SecdmmhmmMRmmiM one person company shall in each year hold in addition to any other meetings, a general meeting as its annual general meeting and shall specify the meeting as such in the notices calling it, and not more than fifteen months shall elapse between the date of one annual general meeting of a company and that of the date of one annual general meeting of a company and the next. For the financial year ended 31.03.2024, the company / Director’s ought to have held the AGM on or before 30.09.2024. However the company has held the same belatedly on 30.01.2025 and thereby contravened the provisions of Sec. 96 of the Companies Act, 2013

The applicants have stated in the application that the delay in conducting AGM is neither wilful nor deliberate and prayed to compound the offence. 4. At the hearing held on 20.08.2025, the Authorized Representative of the Applicants had reiterated the submissions made in the application and pleaded to take a lenient view 5. That taking into consideration the submissions made, facts of the case and the report of Registrar of Companies, Chennai dated 21.07.2025, the following compounding fees were directed to be paid as pre-condition for compounding the above said offence committed by the applicants.
