The company has failed to conduct the AGM for the Financial year 2023 2024 on or before 30.09.2024. The company had held the said AGM belatedly on 02.11.2024 and thereby contravened the provisions of +ection 96 of the Companies Act, 2013

ROC further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. The applicants have moved the compounding application informing that the delay in conducting AGM was due to the health issues of the directors. Also, the applicants have prayed to compound the offence. 4. At the hearing held on 19.02.2026, the Authorized Representative of the Applicants had reiterated the submissions made in the application and pleaded to take a lenient view 5. After considering the submissions made by the authorised representative of applicant and the report of the Registrar of Companies, Coimbatore dated 16.10.2025, the offence committed by the applicants under Sec. 96(1) of the Companies Act, 2013 were
