Praveen Kumar, Practicing Company Secretary ORDER This is an application filed under Section 441 of the Companies Act, 2013 by the above applicants for compounding of offence committed under Rule 22 of Nidhi Rules, 2014 Sl. No. 1. Violation Details/Nature of Violation Rule 22 of Nidhi Rules, 2014. me aMs Act, 2013, in this section, “Nidhi" or “Mutual Benefit Society" means a company which the Central Government may, by notification in the Official Gazette, declare to be a Nidhi or Mutual Benefit Society, as the case may be. As per Rule 22 of Nidhi Rules, 2014, the Auditor of the company shall furnish a certificate every year to the effect that the company has complied with all the provisions contained in the rules and such certificate shall be annexed to the audit report and in case of non-compliance, he shall specifically state the rules which have not been complied with.

The Ministry, while processing the NDtl-4 filed vide SRN. R83298620, observed that the Company has not filed Auditors certificate along with the Balance Sheet as mandated by Rule 22 of the Nidhi Rules, 2014 for the FY ended 31.03.2023. 2. The Registrar of Companies, Chennai vide letter dated 28.08.2025 had reported that the company had filed Form GNL-1 vide SRN: AB5455225 dated 16.07.2025 & AB5709949 dated 29.07.2025 for compounding the offence. ROC has further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation.

The applicants have moved compounding application informing that the above offence had occurred due to unavoidable circumstances and default was unintentional. 4. At the hearing held on 25.02.2026, the Authorized Representative of the Applicants had reiterated the submissions made in the application and prayed to take a lenient view. That taking into consideration the submissions made, facts of the case and the 5 report of Registrar of Companies, Chennai dated 28.08.2025, the following coMpounding fees were directed to be paid as pre-condition for compounding the above said offence committed by the applicants. Therefore, the offences as mentioned above as against the said nine applicants stands compounded and the compounding- application is hereby allowed and disposed off 7. The Company is directed to give intimation to the Registrar of Companies concerned within 7 days from the date on which the offence is so compounded in compliance of Sub-Section (3)(b) of Section 441 of the Companies Act, 2013 and the company shall also file this order as per the provisions of Section 441(4) read with Section 403 of the Companies Act, 2013 in e:form No. 1NC-28 within 30 days from the date of receipt of this order. & Dated at Chennai this ,March, 2026 (M.
