Violation Details/Nature of Violation Rule 7(3) of Nidhi Rules, 2014 As per Sec. 406(1) of the s in "Mutual Benefit Society" means a company wtUch the Central Government may, by notification in the Official Gazette, declare to be a Nidhi or Mutual Benefit Society, as the case may be. As per Rule 7(3) of the Nidhi Rules, "Every Nidhi shall allot to each deposit holder at least a minimum of 10 equity shares or shares equivalent to one hundred rupees, provided that a savings account holder and a recurring deposit account holder shall hold at least one equity shares of rupees ten" . The Ministry, while processing the NDFI-4, observed that the company has allotted shares to the members, which are less than ten equity shares or for an amount less than Rs.100, in violation of Rule 7(3) of the Nidhi Rules, 2014. 2.

The Registrar of Companies, Chennai vide letter dated 18.02.2026 had reported that the company had filed Form GNL-1 vide SRN: AB9902758 dated 10.01.2026, ROC further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. The applicant has moved compounding application informing that the offences were not wilful or deliberate and was only due to inadvertence. 4. At the hearing held on 18.02.2026, the Authorized Representative of the Applicants had reiterated the submissions made in the application and prayed to take a lenient view. 5. That taking into consideration the submissions made, facts of the case and the report of Registrar of Companies, Chennai dated 18.02.2026, the following compounding fees were directed to be paid as pre-condition for compounding the above said offence committed by the applicants. , 4\
