Violation Details/Nature of Violation Rule 5(1)(d) of Nidhi Rules, 2014 As per Sec. 406(1) of the Companies Act, 2013, in this section, “Nidhi" or "Mutual Benefit Society" means a company which the Central Government may, by notification in the Official Gazette, declare to be a Nidhi or Mutual Benefit Society, as the case may be. As per Rule 5(1)(d) of Nidhi Rules, 2014, every Nidhi shall, within a period of one year from the date of incorporation, ensure that it has a ratio of Net Owned Funds to deposits of not more than 1:20. As per Rule 11 of Nidhi Rules, 2014, a Nidhi shall not accept deposits exceeding twenty times of its Net Owned Funds (NOF) as per its last audited financial statements. The Registrar of Companies, Chennai vide letter dated 18.02.2026 had reported that the company had filed Form aNL-1 vide SRN: AB9834362 dated 12.12.2025 for compounding the said violation. ROC has further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. The applicant has moved compounding application informing that the offences were not wilful or deliberate and was only due to inadvertence. 4.
