Mr. Krishnasamy Manickam, Director Applicants Date of Hearing Present 14.11.2025 Mr. V.M Vennila, Practicing Company Secretary ORDER This is an application filed under Section 441 of the Companies Act, 2013 by the above applicants for compounding of offence committed under Sec. 96(1) of the Companies Act, 2013 Violation Details / Nature of Violation Sec. 96(1) of the Companies Act, 2013 As per the provisions of section 96(1) of the Companies Act, 2013, every company other than one person company shall in each year hold, in addition to any other meetings, a general meeting as its annual general meeting and shall specify the meeting as such in the notices calling it, and not more than fifteen months shall elapse between the date of one annual general meeting of a company and that of the next The company has failed to conduct the AGM for the Financial year 2020- 21, 2021-22, 2022-23 & 2023-24 on or before 30.09.2021, 30.09.2022, 30.09.2023 & 30.09.2024. The company had held the said AGM belatedly on 28.03.2022, 15.12.2022, 29.12.2023 & 21.12.2024 and thereby contravened the provisions of Section 96 of the Companies Act, 2013

The Registrar of Companies, Coimbatore vide letter dated 08.09.2025 had reported that the company had filed Form GNL-1 vide SRN: AB6249408 dated 25.08.2025 & AB8888247 dated 08.11.2025. ROC further reported that this is the first offence and that no prosecution is filed for the above said offence. Also, Roc has conveyed no objection for compounding the violation. 3. The applicants have moved the compounding application informing that the delay in conducting AGM was due to spread of CC)VID -19 pandemic, as well as Consequent nationwide Lockdown and prayed to compound the offence. 4. At the hearing held on 14.11.2025, the Authorized Representative of the Applicants had reiterated the submissions made in the application and pleaded to take a lenient view 5. After considering the submissions made by the authorised representative of applicant and the report of the Registrar of Companies, Coimbatore dated 08.09.2025, the offence conurUtted by the applicants under Sec. 96(1) of the Companies Act, 2013 were compotmded, subject to payment of following compounding fees as fixed during th& hnnyjn rr

The Company is directed to give intimation to the Registrar of Companies concerned within 7 days from the date on which the offence is so compounded in compliance of Sub-Section (3)(b) of Section 441 of the Companies Act, 2013 and the company shall also file this order as per the provisions of Section 441(4) read with Section 403 of the Companies Act, 2013 in eform No. 1NC-28 within 30 days from the date of receipt of this order.
