ORDER

1. An application under Section 441 of the Companies Act, 2013, has been filed by the applicant(s) for compounding of offence committed under section 96 of the Companies Act, 2013 vide e-Form GNL-1 through SRN F09524752.

2. As per the application, the Annual General Meeting (AGM) of the Company for the financial year 2020-21 was required to be held on 30.11.2021 (Extended time as per extension order no. ROC/DELHI/AGM EXT/2021/5464 dated 23.09.2021). However, the AGM for the financial year ended on 31.03.2021 was held on 15.02.2022 (Delay of 77 days).

3. The then Presenting Officer, Mr. Prahlad Meena, Joint Director, confirms that Ld. Advocate for the applicants acknowledged the direction of the then Regional Director to pay the compounding fee within 20 days of hearing and the applicants have not paid the compounding fees till date as verified from the MCA BO Portal. Therefore, the application may be rejected.

4. In view of the above, the aforesaid compounding application is dismissed as rejected due to non-payment of compounding fee and disposed of accordingly.
