ORDER

1. An application under section 44] of the Companies Act, 2013, for compounding of default committed u/s 96 of the Companies Act, 2013 was filed by the aforesaid Applicants vide Form GNL-1 through SRN T72723331.

2. As per the application, the first Annual General Meeting (AGM) of the company for Financial year ended 31.03.2020 was required to be held on or before 31.12.2020 (Extended time of 3 months as per extension order no. ROC/Delhi/AGM Ext/2020/11538 dated gth September 2020), but the same was held on 30.03.2021, (89 days delay) hence default.

3. The Registrar of Companies, NCT Of Delhi & Haryana, has submitted his report vide letter dated 26.08.2022 wherein it has been reported that:

i. The period of default in holding the AGM for the F.Y 2019-20 (Delay of 89

li. Days), is from 01.01.2021 to 30.03.2021.

ili. No complaints pending against the Company. iv. No Prosecution has been filed in the matter before court. v. No such offence has been compounded during the last three years. The Petitioner Company has made its default good in respect of the contravention of Section 96(1) of the Companies Act, 2013 by holding the AGM for the F.Y. 2019-20 on 30.03.2021 and has also filed AOC-4 e-form vide SRN T18483883 dated 11.05.2021 and MGT-7 vide SRN T18484808 dated 11.05.2021, status of which are approved.

4. Ld. PCS, for the applicant company and its two applicant directors, are present and pray for compounding of default u/s 96 of the Companies Act, 2013 for not

• holding the AGM of the company for the F.Y. 2019-20 which was required to be held on or before 31.12.2020 but the same was held on 30.03.2021.

• 5. The Presenting Officer, based on the ROC report and the information available on MCA portal, has informed that the procedural compliances under section 4A1 of the Companies Act, 2013 and the Rules for compounding have been duly complied.
• 6. Keeping in view of the facts and circumstances of the case and considering the submission made, by virtue of the powers vested with the then Regional Director, the default under section 96 of the Companies Act, 2013 is compounded subject to the payment of compounding fee of Rs. 30,000/- by the company and Rs. 30,000/- by each of the Applicant Director.
• 7. Pursuant to this Forum's directions dated 12.09.2022, compounding fees have
