ORDER

1. An application under section 441 of the Companies Act, 2013 for compounding of default committed under section 166(2) (3) (4) of theCompanies Act, 2013 was filed by the aforesaid Applicants vide e-Form GNL-1 through SRN N23433907.

2. The Registrar of Companies NCT of Delhi and Haryana, vide its report dated 07.04.2025 stated that since investigation is pending against the Applicant Company, the offence may not be compounded.

3. An e-mail dated 29.12.2025 received from the applicant Company inter-alia praying for withdrawal of theCompounding Application with the liberty to file afresh.

4. The Presenting Officer, Mr. Krishan Kumar, Assistant Director, submits that the Applicant Company is subject to investigation under section 210 of the Companies Act, 2013 and perhaps barred by the 3" Proviso of section 441 of theCompanies Act, 2013, therefore, applicants may be permitted to withdraw the application.

5. In view of the above, the prayer of the Applicant Company is considered and allowed. The application is dismissed as withdrawn with the liberty to file afresh, in case permissible by law. Hence disposed of accordingly.
