  • I. An application under Section 441 of the Companies Act, 2013 filed for compounding of offence u/s 152(2), 152(5) & 170(2) of the Companies Act, 2013 through SRN N30351415.
  1. The Registrar of Companies, NCT of Delhi and Haryana, vide its report dated 30.06.2025 has reported that the aforesaid offences are not compoundable in nature and are subjected to adjudication by the Adjudicating Authority. The consent of the ROC is condition precedent for compounding which is completely negated by the ROC by pointing out that the application does not lie.

  2. Ld. PCS is present and has preferred not to withdraw the application and also prays for compounding and desire to this Forum to pass an order.

  3. The Presenting Officer, Ms. Aruna M, Assistant Director, submits that the compounding application is not maintainable and either the applicant may withdraw the application and may file adjudication before the Adjudicating authority or the application may be dismissed as rejected.

  4. In view of the above, the compounding application u/s 152(2), 152(5) & 170(2) of the Companies Act, 2013, is dismissed as rejected and hence, disposed of accordingly. Signed on the day of January 2026 at New Delhi
