ORDER

  1. An application under section 441 ofthe Companies Act, 2013, for compounding of default committed u/s 96 of the Companies Act, 2013 was filed by the aforesaid Applicants vide Form GNL-1 through SRN N28181873.

  2. As per the application, the Annual General Meeting (AGM) of the company for the financial year ended 31.03.2020 was required to be held on or before 31.12.2020 (Extended time of 3 months as per extension order no. ROC/Delhi/AGMExt./2020/11538 dated 8th September 2020), but the same was held on 15.01.2021 after a delay of 16 days.

  3. The Registrar of Companies, NCT of Delhi and Haryana, has submitted its report vide letter dated 19.03.2025 wherein it has been reported that:

i. The period of default in holding the AGM is for the 2019-20 (16 days delay) from 31.12.2020 to 15.01.2021.

ii. | No complaints pending against the Company.

iii. No Prosecution has been filed in the matter before court. iv. No such offence has been compounded during the last three years. v. The Petitioner Company has made its default good in respect of the contravention of Section 96(1) of the Companies Act, 2013 by holding the AGM for the F.Y. 2019-20 on 15.01.2021 and has also filed AOC-4 e-form vide SRN T03245537 dated 22.02.2021 and MGT-7 vide SRN T03742640 dated 23.02.2021, status of which are approved.

not holding the AGM of the company for the F.Y. 2019-20 which was required to be held on or before 31.12.2020 but the same was held on 15.01.2021.

  1. The Presenting Officer, Ms. Aruna M, Assistant Director, based on the ROC report and the information available on MCA portal, has informed this Forum that the procedural compliances under section 441 ofthe Companies Act, 2013 and the Rules for compounding have been duly complied.

  2. Keeping in view of the facts and circumstances of the case and considering the submission made, by virtue of the powers vested with the Regional Director, the default under section 96 of the Companies Act, 2013 for F.Y. 2019-20 is compounded subject to the payment of compounding fee of Rs. 1,00,000/- by the applicant company and Rs. 50,000/- by each of the Applicant Directors.
