1. An application under Section 441 of the Companies Act, 2013 filed for compounding of offence u/s 96(1) of the Companies Act, 2013 vide Form GNL-1 through SRN N00224568.

2. Ld.ACS for the Applicants prays for compounding of default u/s 96 of the Companies Act, 2013 for not holding AGM of the company for the FY 2021-22. However, ROC has submitted report dated 26.03.2025 u/s 441 of Companies Act, 2013, inter-alia recommending the compounding with maximum imposable fine of Rs. 28,20,000/-. Ld. ACS acknowledges during the hearing dated 28.11.2025 that this Forum has a jurisdiction to compound the matter where the maximum fine imposable is no more than Rs, 25,00,000/-, and therefore, this application does not fall within the jurisdiction of Regional Director, and it ought to have been filed in the name of NCLT, Delhi.

3. Ld. ACS prays for withdrawal of the compounding application vide letter dated 28.11.2025 with a liberty to file a fresh, to make appropriate corrections where required and to again file it with the ROC, for onward submission to the NCLT.

• 4, The Presenting Officer, Ms. Aruna M, Assistant Director, concurs with the observation of the Ld. ACS and confirms that withdrawal of compounding application is permissible at any stage before disposal.

5. In view of the above, the prayer of Ld. ACS is considered and allowed and the application for compounding ofdefault u/s 96 of the Companies Act, 2013 is permitted to be withdrawn. The application is dismissed as withdrawn, hence disposed of accordingly.
