FINAL ORDER

  1. This is an application under Section 441 of the Companies Act, 2013 (hereinafter called as “the Act”) filed through Form GNL-1 bearing SRN N29366267 dated 10-Mar-2025 by ‘CEENIK EXPORTS (INDIA) LIMITED’ (hereinafter called as “the Company”) having CIN L51311MH1995PLC085007 and the Directors/ Officers of the company for seeking compounding of alleged violation of Section 139 of the Companies Act, 2013.

  2. Details and nature of violation:

    • a. Pursuant to Section 139(1) of the Companies Act, 2013, every company shall, at the first annual general meeting, appoint an individual or a firm as an auditor who shall hold office from the conclusion of that meeting till the conclusion of its sixth annual general meeting and thereafter till the conclusion of every sixth meeting and the manner and procedure ofselection ofauditors by the members of the conrpany at such meeting shall be such as may be prescribed.

    • b. Going by the provisions of Section 139(1) of the Companies Act, 2013, it is mandatory for every company to appoint an auditor for a period of five years at a time.

    • c. Thecompany has filed ADT-1 on 18.12.2018 for appointment of Statutory Auditor, Anand Jain & Associates. However, the aforesaid auditor was appointed for a period of five years from the FY 2018-19 to FY 2022-23. The company has therefore, violated provisions of Section 139(1) of the Companies Act, 2013.

  • d. The company appointed Anand Jain & Associates, Chartered Accountants on AGM held on 14/12/2018 for the period of 05 years by filing Form ADT-1 vide SRN H33772534.

  • e. Period of offence: Financial Year 2015-16 to 2017-18.

  • f. The punishment for contravention of Section 139 is prescribed under Section 147(1) of the Companies Act, 2013.

  • g. This is reported to be first offence in the last 03 (three years). h. The offence has been made good.

  1. A personal hearing in the matter was given on 08/08/2025 and compounding fees were imposed on the applicants vide Interim Order No. @. - We. fe. (F.81)/AT Bye / Ccenik Exports/139/N29366267/2025-26/4568 dt.12/08/2025.
