% This is an application under Section 441 of the Companies Act, 2013 (hereinafter called as “the Act”) filed through Form GNL-1 bearing SRN N30382865 dated 30-Apr-2025 by ‘FUSIONSTOR TECHNOLOGIES PRIVATE LIMITED’ (hereinafter called as “the Company”) having CIN U72300MH2008PTC182030 and the Directors/ Officers of the company for seeking compounding of alleged violation of Section 96 of the Companies Act, 2013.

2. Details and nature of violation: a. The Company ought to have held its Annual! General Meeting for the Financial Year 2016-17 on or before 30/09/2017. But the company held its Annual General Meeting for the Financial Year 2016-17 on 02/04/2018 thereby, violating provisions of Section 96 of the Companies Act, 2013.

   • b. The period of offence is for the Financial Year 2016-17. c. This is reported to be the first offence in the last 03 (three years). d. The offence has been made good.

• 3 A personal hearing in the matter was given on 17/11/2025 and following compounding fees in INR were imposed on the applicants for violation of Section 96 of the Companies Act, 2013 for the Financial Year 2016-17 vide Interim Order No. 4. - me. fecrejyemt xxv/Fusionstor Technologies/96/N30382865/2025-26/6351 = dt. 01/12/2025.
