FINAL ORDER

1. This is an application under Section 441 of the Companies Act, 2013 (hereinafter called as “the Act”) filed through Form GNL-1 bearing SRN AB6473283 dated 04-Sep-2025 by “HD FIRE PROTECT LIMITED’ (hereinafter called as “the Company”) having CIN U29270MH1997PLC107536 and the Directors/Officers of the company for seeking compounding of alleged violation of Section 148 read with Section 147(1) of the Companies Act, 2013.

• a Details and nature of violation: a. Pursuant to the provisions of Section 148 of the Companies Act, 2013 read with Companies (Cost Records & Audit) Rules, 2014, the company and its directors are under the statutory obligation to maintain cost accounting records and get the same audited and to file the Cost Audit Report with the Central Government.

  • b. The company has failed to file Form CRA-2 for the Financial Year 2019-20 within the prescribed time thereby, violating provisions of Section 148 of the Companies Act, 2013 read with Rule 6(1) & 6(2) of the Companies (Cost Records & Audit) Rules, 2014.

  • c. Period of offence is for Financial Year 2019-20,

  • d. This is reported to be first offence in the last 03 (three years).

  • e. The offence has been made good.

3. A personal hearing in the matter was given on 07/11/2025 and compounding fces were imposed on the applicants vide Interim Order No. #. - wm’. R&cLayant wees HD Fire/148/ AB6473283 /2025-26/6017 dt. 13/11/2025.
