Appllcant L ORDER (1) That the above named applicant have filed the instant application under section 441 of the Companies Act, 2013, with the Registrar of Companies, Vijayawada, in e-Form GNL-1 vide SRN T69272839 dated 30.12.2021 for compounding of offence committed under section 167 of the Companies Act, 2013 and the same has been forwarded to the Regional Director (SER) for consideration vide his report dated 10.02.2022 and where inter-alia he has confirmed the above said violation and has recommended the same for consideration on merits. (b) The office of ROC has received a complaint that Mr. peter Ketels Schneeberger was disqualified /s 164 -of Companies Act, 2013 for the peridd of 5 years from 01.11.2016,.during the disqualification period he represented as Director of M/s. Samudra Software Private Limited, in W.P. No. 14449/2018 before the Hon'ble High Court of Hyderabad. (c) Mr. Peter Ketels Schneeberger is one of the directors of M/s. Psychguru Mental Health Services Private Limited (CIN: U85100AP2007PTC055914), which has failed to file its statutory returns from 31.03.2011. Hence the company was identified for struck off from the Register of the Registrar of Companies. Consequently, the directors of the company including‘Mr. Pete.r‘ Ketels Schneeberger DIN was disqualified for the period of five (5) years from 01.11.2016 to 31.10.2021 as per Section 164(2) of the Companies Act, 2013 vide web publication in Ministry’s website dated 14.09.2017. (d) As per the report of ROC dated 10.02.2022 the offence was made good as he has resigned from Directorship.

Srikant Kumar, Practicing Company Secretary (PCS) had appeared on behalf of the Applicant and reiterated the submissions made in the application and pleaded for leniency and for imposing of minimum compounding fee.
