ORDER

1. M/s. KANORIA PLASCHEM LIMITED has filed an appeal under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN F96912332 dated 21.07.2024 against the adjudication order issued vide F.No. ROCB/Adj.454203/Kanoria Plaschem/Co.No.014461/2024 dated 22.05.2024 under section 454(5) of the Companies Act, 2013 1t/w section 203 of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 22.05.2024 has stated that the during the course of inquiry conducted under section 206 of the Act, the Inspector noticed that despite being a listed company, the company has not appointed a whole-time company secretary till date. Further, the company has not appointed CFO as per the requirement of

. the provisions of section 203 of the Companies Act, 2013 till 31.12.2020. ;

3. Hence, ROC issued adjudication notice, and the Authorised Representative (AR) of the Company Mr. Keerthi N Consultant and Mr. Shiva Kumar Taluri employee of the Company

, appeared on behalf of Company and MD before ROC/AO on 12.03.2024.

4. ROC Bangalore has stated that the Company and the respective officers in default have violated the provisions section 203(1) of the Act for non-appointment of whole-time company secretary till date and non-appointment of CFO from 01.04.2014 to 30.12.2020. Mr. Manjunath N was appointed as CFO with effect from 31.12.2020 with a delay of 2466 days.

5. Considering the above default, ROC has levied the following penalty on company & MD of

6. An appeal was filed before this Directorate by the appellants. The appeal was heard on 16.10.2024. by the then RD, SER, Hyderabad. Mr. Gokul. R, Advocate/Authorised representative has attended the hearing and made submissions. The RD, after considering the facts & circumstances, reduced the penalty levied by ROC. Accordingly, the appellants have paid the penalty after such reduction and submitted copy of challan vide email dated 30.09.2025 as under. 7. In view of the above, receipt of payments the appeal is hereby disposed off.
