1. Ms. Sridevi Dasari (Former Director of SABJI XPRESS PRIVATE LIMITED) has filed an appeal under section 454(5) of the Companies Act, 2013 in e- form ADJ vide SRN AB4153858 dated 21.05.2025 against the adjudication order issued vide F.No. ROC(B)/Adj.Ord.454-137(1)/Sabji Xpress/Co.No.134086/2025 dated 17.03.2025 under section 454(5) of the Companies Act, 2013 read with section 137(1) of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 17.03.2025 has stated after considering the facts and circumstances of the case that the company and its directors are liable to penalty as prescribed under Section 137(3) of the Act for violation of Section 137(1) of the Companies Act, 2013. Further, Registrar of Companies, Bangalore passed an ex-parte order dated 17.03.2025 after no representation during the hearing on 26.11.2024 by fixing a penalty on the company and four directors, including the Appellant the penalty levied on the appellant is as under: | ie | Aae ie ae

3. The appeal was heard on 24.07.2025. Mr. Vikas Sirohiya, Practicing Company Secretary/Authorised representative has attended the personal hearing on behalf of the applicant on 24.07.2025 before the Regional Director. 

4. During the hearing the authorised representative submitted that the AO has passed an adjudication order for non-filing of Annual Return for F.Y. 202021, 2021-22, 2022-23, 2023-24 and levied penalty. The appeal is filed by one of the Officers in Default, namely Ms. Sridevi Dasari, on the ground that she had resigned from directorship on 09.03.2021 and was not a director during the relevant period of default. The Company filed DIR-12 of her resignation vide SRN T08279549 on 10.03.2021. 

5. In view of the submissions made, the appeal is allowed and the order of the AO against the appellant is set aside. The order stands against the Company and the other directors.
