1. M/s. TRIKAAL LEASING AND FINANCE LIMITED has filed an appeal under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN AB2526381 dated 25.01.2025 against the adjudication order issued vide F.No. ROCB/Adj.454-134(3)(f)/Trikaal Leasing/Co.No.013026/2024/ dated 26.11.2024 under section 454(5) of the Companies Act, 2013 read with section 134(3) of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 26.11.2024 has stated after considering the facts and circumstances of the case that the company and its directors are liable to penalty as prescribed under Section 134(3) of the Act for violation of Section 134(3) of the Companies Act, 2013, and passed an order dated 26.11.2024 after hearing Mr. Amol R Deshpande, Executive Director and fixed a penalty as under:

3. The matter was heard on 08.08.2025, and Mr. R. Venkata Ramana Company Secretary /Authorised representative of the company has attended the personal hearing before the Regional Director and made his submissions.

4. The submissions and the documents submitted by the Authorised representative of the company have been examined and it is observed that there is no defect in the order passed by A.O. Hence the Order of AO is upheld, and the appeal filed by the appellant is dismissed.
