ORDER

1. M/s. UMRIT EXPORTS AND INVESTMENTS PRIVATE LIMITED has filed an appeal! under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN AB3511737 dated 19.04.2025 against the adjudication order issued vide F.No. ROCB/Adj.454129 r/w 137/Umrit Exports/Co.No.015267/2025 dated 20.02.2025 under section 454(5) of the Companies Act, 2013 read with section 170 of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 20.02.2025 has stated after considering the facts and circumstances of the case that the company and its directors are liable to penalty as prescribed under Section 129 r/w 137 of the Act for violation of Section 129 r/w 137 of the Companies Act, 2013. Thereafter, adjudication hearing notice was issued on 04.12.2024 and physical hearing was on 10.12.2024. Mr. Harshavardhan R., Practicing Company Secretary appeared on behalf of the Company and its Managing Director and made his submissions before the adjudicating authority. Further, Registrar of Companies, Bangalore passed an order dated 20.02.2025 after hearing Mr. Harshvardhan R, PCS, on 10.12.2024 and by fixing a penalty as under:

a) Penalty imposed for non-filling of AOC (CFS) for the financial year 2016-17=31.10.2017 to 20,02.2025=2670 days.

3. The matter was heard on 03.07.2025. Mr. Harshavardhan R., Borathi, Practicing Company Secretary/Authorised representative has attended the personal hearing before the Regional Director and made his submission.

4. Heard the Authorised representative of the appellant. The submission and the documents submitted by the Authorised representative of the company have been examined and it is observed that the company was given immunity under Company Fresh Start Scheme (CFSS) - 2020 for filling AOC-4 (CFS) for 2018-19, and the company has filed the same vide SRN R73026304 dt. 01.12.2020. Hence the penalty levied by AO relating to 2018-19 is set aside. The penalty levied for 2016-17 by AO is subsist.
