ORDER

1. Ms. Sridevi Dasari (Former Director of SABJI XPRESS PRIVATE LIMITED) has filed an appeal under section 454(5) of the Companies Act, 2013 in e-form ADJ vide SRN AB2977683 dated 21.03.2025 against the adjudication order issued vide F.No. ROC(B)/Adj.Ord.454-12(1)/Sabji Xpress/Co.No.134086/2025 dated 28.01.2025 under section 454(5) of the Companies Act, 2013 read with section 12(1) of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 28.01.2025 has stated after considering the company was not maintaining its registered office and in the facts and circumstances of the case, the company and its directors are liable to penalty as prescribed under Section 12(1) of the Act for violation of Section 12(1) of the Companies Act, 2013 during the period 08.06.2022 to 26.11.2024 as there was no representation at the hearing held on 26.11.2024, the Registrar of Companies, Bangalore passed an ex-parte order dated 28.01.2025 u/s 12 (8) r/w Section 446B of the Act by fixing a penalty on the company and four directors including the appellant. 3. The appeal was filed by only one director i.e., Ms. Sridevi Dasari and was heard on 11.06.2025. Mr. Vikas Sirohiya, Practicing Company Secretary/Authorized representative has attended the personal hearing on behalf of the said applicant on 11.06.2025 before the Regional Director.

4. During the hearing the authorised representative submitted that the appellant was not a director during the period of default and ceased to be a director on 09.03.2021 as per DIN data available on MCA portal.

5. In view of the submissions made and the documents submitted it is observed that the appellant was not a director during the period of default. Therefore, the appeal is allowed and the order of the AO against the appellant is set aside. The order stands against the Company and the other directors.
