ORDER

1. M/s. GITA REFRACTORIES PRIVATE LIMITED has filed an appeal under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN AB3110121 dated 28.03.2025 against the adjudication order issued vide F.No. ROCB/Adj.454-12(3)/Gita Refractories/017233/2025 dated 28.01.2025 under section 454(5) of the Companies Act, 2013 read with section 12(3)(c) of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 28.01.2025 has stated that during the course of inquiry under section 206 of the Act, 2013, it is observed that the company is furnishing the address on its letter head as “Corporate Office” instead of “Registered Office” also it is noticed that the company is indicating a wrong CIN on its letter head viz., CINU2659KA1995PTC01733 instead of correct CIN viz CINU2659KA1995PTC017233. Hence company and its Directors have violated the provisions of section 12(3)(c) of the Companies Act, 2013. Hence after hearing Authorized Representative of the company

3. The appeal filed by the company before this Directorate was heard on 09.09.2025 and Mr. Rameshchand Jain Charted Accountant /Authorised representative (AR) has attended the personal hearing before the Regional Director and made his submissions. 

4. The submissions of the AR of the company and the order of AO have been examined and it is observed that there is no infirmity in the order of the AO. Hence the appeal is dismissed.
