ORDER

1. Ms. Sridevi Dasari, Director of M/s. Kirana Corner Private Limited has filed an appeal under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN AB3027399 dated 21.03.2025 against the adjudication order issued vide F.No. ROCB/Adj.45412(1)/Kirana Corner/Co.No.135213/2025 dated 28.01.2025 under section 454(5) of the Companies Act, 2013 read with sections 12(1) of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. Registrar of Companies in his Adjudication order dt. 28.01.2025 has stated that the company is not maintaining its registered office and in the facts and circumstances of the case that the company and its directors are liable to penalty as prescribed under Sections 12(8) of the Act for violation of Sections 12(1) of the Companies Act, 2013. Further, as no one appeared at the hearing held on 26.11.2024, the Registrar of Companies, Bangalore passed an ex-parte order dated 28.01.2025 u/s 12(8) r/w section 446B of the Act for the period 08.06.2022 to 26.11.2024 by fixing penalties as under: fess Gf 8" ee a cs ; Page1 of 3 |

3. The appeal was heard on 11.06.2025. Mr. Vikas Sirohiya, Company Secretary/Authorised representative has attended the personal hearing on behalf of the applicant on 11.06.2025 before the Regional Director. It was submitted that the appellant was not a director of the company during the period of default and as per DIR-12 filed vide SRN: 108279176 dated: 10.03.2021 on the MCA portal she ceased to be a director w.e.f. 09.03.2021.

4. In view of the above, the appeal is allowed and the order of the AO against the appellant. is.set aside. However, the order against the company and others subsits.
