ORDER

1. M/s. STANLEY LIFESTYLES LIMITED has filed an appeal under section 454(5) of the Companies Act, 2013 along with the above appellants in e-form ADJ vide SRN AB4223645 dated 25.05.2025 against the adjudication order issued vide F.No. ROCB/Adj.454-134/Stanley Lifestyle/Co.No.044090/2025/6664 to 6667 dated 25.03.2025 under section 454(5) of the Companies Act, 2013 read with section 134 of the Companies Act, 2013 passed by the Registrar of Companies, Bangalore.

2. The Registrar of Companies (Bangalore) in his Adjudication order dated 25.03.2025 has stated that after considering the facts and circumstances of the case, the company and its directors are liable to penalty as prescribed under Section 134(8) of the Act for violation of Section 134 of the Companies Act, 2013. Further, Registrar of Companies, Bangalore has passed an order dated 25.03.2025 after hearing Mr. Vamsikrishna.
