01 Overview of the Corporate Sector

A total number of 24,49,618 companies were registered in the country as on 31st December 2022, of which 61% (15,06,341) companies stands active. There is an increase of 1% in the total number of active companies as compared to November 2022. (Table 1) The data shows that most companies in India are Private Limited companies, that account for 95% of the total companies with 36% of the total Paid-up Capital. In comparison, Public Limited companies are smaller in number (5%) but comprise 64% of the total Paid-up Capital. (Table 3)

Economic Sector-wise classification (NIC-2004) reveals that the Business Services has been the bright spot throughout the year and has highest number of Active companies (30%) followed by Manufacturing (21%), Trading (13%) and Community, Personal and Social Services (9%). It is also observed that Agriculture Sector saw the maximum increase in the total number of Active Companies, followed by Service Sector and Industry Sector. In the Service Sector, Community, personal & Social Services Sector showed the maximum rise in the number of Active Companies as compared to November 2022. (Table 3).

Amongst the 37 States/UT, Maharashtra (20%) continues to be the state with highest number of Active Companies, followed by Delhi (15%) and West Bengal (9%). Mizoram witnessed the maximum rise of 3% in the number of active companies followed by Leh & Ladakh and Arunachal Pradesh at 2.8% and 2.1% respectively as compared to November 2022. 03 New Registration in December 2022
New Registration of Companies A total of 16,072 companies were registered with a collective Paid-up Capital of Rs. 617.42 Crore. Out of the total new registrations, 15,983 companies were registered as Companies Limited by Shares with a Paid-Up Capital of Rs. 616.88 Crore, 89 companies were registered as Companies Limited by Guarantee with a Paid-Up Capital of Rs. 0.53 Crore. There was an overall increase of 25% in the number of new registrations in December 2022 when compared to November 2022. (Table 5) Economic-activity wise classification of new companies registered reveals that the predominant share of companies is in Business Services (26%) followed by Manufacturing (19%), Community, personal & Social Services (14%) and Trading (12%). The Construction sector observed a rise of 31% in the number of registrations in contrast to November 2022. (Table 6)

State/UT-Wise Analysis of new registered companies shows that Union Territory, Andaman & Nicobar and Leh & Ladakh have started gaining momentum in terms of registration of 11 and 2 new companies. The top three states that receive the highest number of new registrations during December 2022 were Maharashtra with 18% which amounts to 2,944 corporates, Uttar Pradesh with 11% coming in at 1,784 and Delhi following closely behind at 9.3% belonging to 1,501 companies with a collective paid-up capital of Rs. 246.3 crore. (Table 7)

New Registration of Director Identification Number (DIN)

In December 2022, 35,271 Director Identification Numbers were registered, out of which 98% were in use by Indian nationals and the remaining 2% were in use by Foreign nationals. Additionally, 91 DINs were deactivated. (Table 8)

Out of the total number of directors registered in India in December 2022, 68% were male and the remaining 32% were female. A close analysis on Indian Directors revealed that 44% of new directors registered belongs to age 31-45 years old, of which, 66% were male and 34% female. Furthermore, 7% of the new director registrations were older than 60 years. Maharashtra witnessed the highest, i.e., 15% of the total registrations of Directors.

04 One Person Company

As per the recent data, opportunities given to small companies and entrepreneurs by the Government of India has proven to be beneficial for them. Till 31st December 2022, a total number of 44,699 One Person Companies were active with a collective Paid up capital of Rs. 606.58 Crore. (Table 10) Economic Sector-wise classification shows a significant rise of 44% in the registration of One Person Companies in Community, Personal & Social Services sector in December 2022 over November 2022.

Among all States/UT, Uttarakhand (71%) and Jammu & Kashmir (70%)showed a rise in the number of new One Person Companies during December 2022 as compared to November 2022.

05 Limited Liability Partnership

With an increase of new 10,715 Limited Liability Partnerships (LLPs) during the quarter October 2022 to December 2022, a total number of 2,65,616 LLPs were active in the country as of 31st December 2022. (Table 11 & 12)

(Table 12) Broader economic sector-wise classification of active LLPs as on 31st December 2022 reveals that the Service sector continues to account for maximum registrations with 74% LLPs, followed by Industry and Agriculture sectors accounting for 24% and 2% respectively. 06 Foreign Company

As on 31st December 2022, there were a total of 5,098 foreign companies were registered in India. Out of these, 65% (3,296) were Active. Of the 18 new overseas business entities that were registered with the Ministry of Corporate Affairs during October 2022-December 2022, 28% were established in Maharashtra, 17% each in Delhi and Karnataka, 11% in Gujarat, Haryana & Tamil Nadu, and 6% in Uttarakhand. When looking at the economic activity classification, it was revealed that 50% of the companies can be classified as 'Business Services’. (Table 14)

During December 2022, 64% each of the foreign companies were established as Branch Office to perform the business operations as that of parent company and 27% as Project Office to execute a particular project in India and 9% of the new registrations of the foreign companies were established as Liason Office to act as the representative. *CP&S - Community, Personal and Social Services, *M&Q – Mining & Quarrying Page 10 of 21

07 Miscellaneous

 In December 2022, a total of 3,68,369 forms were filed with the Ministry of Corporate Affairs. Of which, 1,00,210 AOC-4 forms were filed, followed by 89,865 MGT-7A, 33,429 DIR-12, 32,399 ADT-1 and 25,002 MGT-7. (Table 15)

 During December 2022, a total of 10,441 companies were struck off, of which 10,034 companies’ names were removed from the Register of Companies u/s 248 by the Ministry of Corporate Affairs, and 407 applications were received from companies to strike off their names from the register.

 MCA facilitates its registered users to login and view/download all the forms filed by the company. 4,64,530 documents were viewed/downloaded by the users in December 2022.

 During December 2022, a total of 4,50,994 Non-STP1 forms were received. Of which, 4,47,041 (99.1%) were accepted and 3,953 (0.9%) were rejected. (Table 16)

 A total of 71,300 Public Companies and 14,35,041 Private Companies were active till 31st December 2022, after taking into account 54 Private Companies which were converted to Public Companies and 49 Public Companies that were converted to Private Companies during December 2022.
