01 Overview of the Corporate Sector

A total number of 23,18,063 companies were registered in the country as on 31st March 2022, of which 62% companies stand active. The number of companies under the process of striking off has notably fallen in the month of March 2022, which has led to an increase of 0.8% in the total number of active companies as compared to February 2022 (Table 1). The data shows that most companies in India are Private Limited companies, that account for 95% of the total companies with 38% of the total Paid-up Capital. In comparison, Public Limited companies are smaller in number (5%) but comprise 62% of the total Paid-up Capital. (Table 2 & 3)

Economic Sector-wise classification (NIC-2004) reveals that the Business Services has been the bright spot throughout the year and has highest number of Active companies (30%) followed by Manufacturing (21%), Trading (13%) and Community, Personal and Social Services (9%). It is also observed that Agriculture Sector saw the highest monthly rise of 2% in the total number of Active Companies followed by Community, Personal & Social Services at 1.4% in the Service Sector as compared to February 2022. (Table 3).

Amongst the 37 States/UT, Maharashtra (20%) continues to be the state with highest number of Active Companies, followed by Delhi (15%) and West Bengal (9%). An upward trend is observed in the number of Active Companies in the north-eastern states such as Mizoram, Arunachal Pradesh, Tripura, Assam and Union Territories like Jammu & Kashmir and Leh & Ladakh as compared to February 2022. 03 New Registration
New Registration of Companies during FY 2020-21 During the FY 2021-22 (i.e. from 1st April, 2021 to 31st March, 2022), a total of 1,67,076 companies were registered with collective Paid Up capital of Rs. 43,491.20 crore. Of them, 165,935 Companies were registered as Companies Limited by Shares with Paid Up capital of Rs. 43,489.20 crore; 1,139 Companies Limited by Guarantees with Paid Up capital of Rs. 1.99 crore and 2 Unlimited Companies were registered with a Paid Up capital of 0.01 crore (Table 5). An increase of 7.5% is observed in the number of registered companies during the FY 2021- 22 as compared to FY 2020- 21. It is further observed that 79% of companies were registered with the Paid-Up capital of less than 1 lakh during the year (Table 6). Sector–wise data reveals that Service Sector (63%) continues to account for the maximum share of new companies followed by Industry (29%) and Agriculture (8%). Broader Economic-Activity-wise classification reveals that Real Estate and Renting observed the highest rise of 29% in the Service Sector while Construction is spotted with the highest rise of 10% in the Industry Sector as compared with FY 2020-21 (Table 7).

State-wise analysis of new registered companies during the FY 2021-22 depicts that 18.6% companies were registered in Maharashtra, followed by 10.2% in Uttar Pradesh and 9.8% in Delhi. North-Eastern state, Mizoram and Union Territory Leh & Ladakh have witnessed the highest escalation of 283% and 93% respectively in the number of registrations during the year in comparison to FY 2020-21 (Table 8). New Registration of Companies during March 2022 A total of 15,018 companies were registered with a collective Paid-up Capital of Rs. 868.64 Crore. Out of the total new registrations, 14,926 companies were registered as Companies Limited by Shares with a Paid-Up Capital of Rs. 868.59 Crore and 92 companies were registered as Companies Limited by Guarantee with a Paid-Up Capital of Rs. 0.05 Crore. There was an overall increase of 2.8% in the number of new registrations in March 2022 when compared to February 2022. (Table 9) Economic-activity wise classification of new companies registered reveals that the predominant share of companies is in Business Services (25%) followed by Manufacturing (21%), Community, personal & Social Services (14%), and Trading (13%). Agriculture & Allied Services witnessed the maximum increase of 9% in the number of registrations followed by the Industry and Services Sector at 6% and 1% respectively in March 2022 as compared to February 2022. Among the Services Sector, Insurance Sector observed a remarkable growth of 20% in the number of registrations over February 2022. (Table 10)

State/UT-Wise Analysis of new registered companies shows that Union territories Andaman & Nicobar and Puducherry, have started gaining momentum in terms of registration of 7 and 19 new companies respectively. The top three states that receive the highest number of new registrations in March 2022 were Maharashtra with 20% which amounts to 2,939 corporates, Delhi with 10.07% coming in at 1,513 and Uttar Pradesh following closely behind at 9.7% belonging to 1,464 companies with a collective paid-up capital of Rs.313.9 crore. New Registration of Director Identification Number (DIN)

During FY 2021-22, a total of 4,19,538 Director Identification Numbers were registered out of which 98.5% were in use by Indian Nationals and the remaining 1.5% were in use by Foreign Nationals. Also, 2,562 DINs were de-registered during the year. 33,652 Director Identification Numbers were registered in March 2022, out of which 98.1% were in use by Indian nationals and 1.9% were in use by Foreign nationals and 136 DINs were deactivated (Table 12).

Out of the total number of directors registered in India during the FY 2021-22, 70% were male and the remaining 30% were female. Maharashtra witnessed 18% of the total registrations of Directors and North-Eastern states had 6,427 director registrations. A close analysis on Indian Directors revealed that 43% of new directors registered belongs to age 31-45 years old, of which, 68% were male and 32% female. Furthermore, 7% of the total new directors registered were older than 60 years (Table 13).

04 One Person Company

As per the recent data, opportunities given to small companies and entrepreneurs by the Government of India has proven to be beneficial for them. A total of 10,112 OPCs were registered in India during the FY 2021-22 with a collective Paid up capital of Rs. 104.93 Crore out of which 813 One Person Companies were registered during March 2022. Till 31st March 2022, a total number of 43,024 One Person Companies were active with a collective Paid up capital of Rs. 578.13 Crore. (Table 14). Economic Sector-wise classification shows a significant rise of 250% in the Finance Sector of One Person Companies in FY 2021-22 over FY 2020-21.

05 Foreign Company

As on 31st March 2022, there were a total of 5051 foreign companies were registered in India. Out of these, 65% were Active. 58 new overseas business entities that registered with the Ministry of Corporate Affairs, India during FY 2021-22, of which 33% were established in Delhi and 26% in Maharashtra. When looking at the economic activity classification for these 58 new companies, it was revealed that 65% of the companies can be classified as 'Business Services'. (Table 15 & 16)

Out of the total new registrations during the year, 16% foreign companies were established during March 2022. Among these foreign companies, 22% were established as Branch Office to perform the business operations as that of parent company, 45% as Liaison office to act as the representative and 33% were established as Project office to execute a particular project in India. 06 Miscellaneous

 During FY 2021-22, a total of 45,80,226 forms were filed with the Ministry of Corporate Affairs. Of which, 10,69,799 AOC-4 forms were filed followed by 8,49,685 MGT-7A, 5,12,400 AOC-4 XBRL, and 5,12,317 DPT-3. (Table 17)

 During FY 2021-22, a total of 67,068 companies were struck off, of which 45,450 companies’ names were removed from the Register of Companies u/s 248 by the Ministry of Corporate Affairs, and 21,618 applications were received from companies to strike off their names from the register.

 MCA facilitates its registered users to login and view/download all the forms filed by the company. 41,17,035 documents were viewed/downloaded by the users during FY 2021-22.

 During FY 2021-22, a total of 88,69,811 Non-STP1 forms were received. Of which, 88,28,598 (99.5%) were accepted and 41,213 (0.5%) were rejected. (Table 18)

 A total of 69,790 Public Companies and 13,68,255 Private Companies were active till 31st March 2022, after taking into account 468 Private Companies which were converted to Public Companies and 826 Public Companies that were converted to Private Companies during FY 2021-22.

 Listing Status has changed for 135 companies from Unlisted to Listed and for 112 companies from Listed to Unlisted during the year.
