01 Overview of the Corporate Sector

A total number of 23,03,264 companies were registered in the country as on 28th February 2022, of which 62% companies stands active. Although, a sudden increase in the number of companies under the process of striking off during February 2022 led to an insignificant decrease of 0.6% in the total number of active companies as compared to January 2022. (Table 1) The data shows that most companies in India are Private Limited companies, that account for 95% of the total companies with 38% of the total Paid-up Capital. In comparison, Public Limited companies are smaller in number (5%) but comprise 62% of the total Paid-up Capital. (Table 3)

Economic Sector-wise classification (NIC-2004) reveals that the Business Services has been the bright spot throughout the year and has highest number of Active companies (30%) followed by Manufacturing (21%), Trading (13%) and Community, Personal and Social Services (9%). It is also observed that Agriculture Sector saw an increase in the total number of Active Companies as compared to January 2022. In the Service Sector, Community, Personal & Social Services and Financial Services showed a rise in the number of Active Companies. (Table 3).

Amongst the 37 States/UT, Maharashtra (20%) continues to be the state with highest number of Active Companies, followed by Delhi (15%) and West Bengal (9%). An upward trend was observed in the number of Active Companies in the states of Bihar, Chattisgarh, Himachal Pradesh, Jharkhand, Jammu & Kashmir and Telangana as compared to January 2022. 03 New Registration in February 2022
New Registration of Companies A total of 14,608 companies were registered with a collective Paid-up Capital of Rs. 706.06 Crore. Out of the total new registrations, 14,509 companies were registered as Companies Limited by Shares with a Paid-Up Capital of Rs. 705.96 Crore and 99 companies were registered as Companies Limited by Guarantee with a Paid-Up Capital of Rs. 0.09 Crore. There was an overall increase of 20% in the number of new registrations in February 2022 when compared to January 2022. (Table 5) Economic-activity wise classification of new companies registered reveals that the predominant share of companies is in Business Services (26%) followed by Manufacturing (21%), Community, personal & Social Services (14%), Trading (12%) and Agriculture and Allied Activities (8%). Insurance Sector also observed a remarkable growth of more than 200% followed by Leather & products thereof (Manufacturing) and Mining & Quarrying Sector at 79% and 53% respectively in February 2022 as compared to January 2022.

State/UT-Wise Analysis of new registered companies shows that Union territories Andaman & Nicobar and Pondicherry, have started gaining momentum in terms of registration of 12 and 5 new companies respectively. The top three states that receive the highest number of new registrations in February 2022 were Maharashtra with 19% which amounts to 2,791 corporates, Uttar Pradesh with 10% coming in at 1,400 and Delhi following closely behind at 9.3% belonging to 1,362 companies with a collective paid-up capital of Rs.182.5 crore. (Table 7)

New Registration of Director Identification Number (DIN)

In February 2022, 36,455 Director Identification Numbers were registered out of which 98.6% were in use by Indian nationals and the remaining 1.4% were in use by Foreign nationals. Additionally, 127 DINs were deactivated. (Table 8)

Out of the total number of directors registered in India in February 2022, 70% were male and the remaining 30% were female. A close analysis on Indian Directors revealed that 44% of new directors registered belongs to age 31-45 years old, of which, 68% were male and 32% female. Furthermore, 7% of the new director registrations belonged to people older than 60 years. While Maharashtra witnessed 21% of the total registrations of Directors and North-Eastern states had 612 director registrations. (Table 9)

04 One Person Company

As per the recent data, opportunities given to small companies and entrepreneurs by the Government of India has proven to be beneficial for them. Till 28th February 2022, a total number of 42,448 One Person Companies were active with a collective Paid up capital of Rs. 568 Crore. (Table 10) Economic Sector wise classification shows a significant rise of 250% in the Finance Sector of One Person Companies in February 2022 over January 2022.

During February 2022, a total number of 807 One Person Companies were registered with a Paid-Up Capital of Rs. 8.66 Crore. Among all States/UT, Maharashtra (14%) registered a maximum of One-Person Companies followed by Uttar Pradesh (12%) and Delhi (9.41%). Page 8 of 21

05 Limited Liability Partnership

With an increase of new 11,576 Limited Liability Partnerships (LLPs) during the quarter December 2021 to February 2022, a total number of 2,39,054 LLPs were active in the country as of 28th February 2022. (Table 11 & 12) About 84.10% of active LLPs (2,01,051 in number) have an obligation of contribution less than or equal to Rs. 5 lakhs, and only about 3.11% (7,439 in number) of LLPs have the obligation of contribution above Rs.1 crore. (Table 12) Broader economic sector-wise classification of active LLPs as on 28th February 2022 reveals that the Service sector continues to account for maximum registrations with 74% LLPs, followed by Industry and Agriculture sectors accounting for 24% and 2% respectively. (Table 13)

06 Foreign Company

As on February 2022, there were a total of 5043 foreign companies were registered in India. Out of these, 66% were Active. Of the 16 new overseas business entities that registered with the Ministry of Corporate Affairs, India in December 2021- February 2022, 44% were established in Delhi and 31% in Maharashtra. When looking at the economic activity classification for these 16 new companies, it was revealed that 69% of the companies can be classified as 'Business Services'. (Table 14)

Out of the total new registrations, 37.5% of the foreign companies were established as Branch Office to perform the business operations as that of parent company, 43.8% as Liaison office to act as the representative and 18.7% were established as Project office to execute a particular project in India.

07 Miscellaneous

 In February 2022, a total of 6,56,644 forms were filed with the Ministry of Corporate Affairs. Of which, 2,86,529 AOC-4 forms were filed, followed by 1,88,992 MGT-7A, 37,288 MGT-7 and 32,456 ADT-1. (Table 15)

 During February 2022, a total of 14,785 companies were struck off, of which 12,919 companies’ names were removed from the Register of Companies u/s 248 by the Ministry of Corporate Affairs, and 1,866 applications were received from companies to strike off their names from the register. (Table 16)

 MCA facilitates its registered users to login and view/download all the forms filed by the company. 3,54,465 documents were viewed/downloaded by the users in February 2022.

 During February 2022, a total of 8,58,348 Non-STP1 forms were received. Of which, 8,55,439 (99.6%) were accepted and 2,909 (0.4%) were rejected. (Table 17)

 A total of 69,574 Public Companies and 13,56,921 Private Companies were active till 28th February 2022, after taking into account 69 Private Companies which were converted to Public Companies and 46 Public Companies that were converted to Private Companies during February 2022.

 Listing Status has changed for 17 companies from Unlisted to Listed and for 13 companies from Listed to Unlisted.
