100.7 Requests for co-developer

Item no. 100. 7(i) Request of M/s. BVC Logistics Pvt. Ltd., Basement, SDF III for co-developer status in SEEPZ SEZ at SEEPZ SEZ, Andheri (E), Mumbai

The above mentioned SEZ stands notified on 01.10.2008 over an area of 44.93 hectares.

M/s. BVC Logistics Pvt. Ltd. has submitted a proposal for acting as a Co-Developer in SEEPZ SEZ for setting up a Free Trade Warehousing Zone (FTWZ) to provide requisite infrastructure facilities to eligible Units for storage in the form of highly secured ultra- modern vault/B2B display areas including other infrastructure facilities such as 24/7 security surveillance and monitoring, air-conditioned storage areas etc. for high value precious commodities like bullion - Gold, Silver, Platinum, Diamonds, Jewellery, Paintings, Works of Art etc.

Mtr. For providing such infrastructure facilities, BVC Logistics Pvt. Ltd shall be charging rent from the Unit holders, which is evident from the financial projections submitted by them along with application.

The applicant has stated that similar FTWZs have already been approved in Sri- CitySEZ as well as in GIFT SEZ, Gandhinagar.

Co-developer agreement dated 09.09.2020 entered into with the Developer has been provided. The proposed amount of investment by the co-developer in the SEZ is Rs. 4.1738 crores for providing infrastructure for the following: (i) Creation of walk-in vaults class AA for storage of gold bullion, (ii) Creation/Installation of secure storage Safe for individual unit holder manage gold bullion stock; (iii) Strong room equipped with heavy duty pallet- racking/storage system 1or silverbullion warehousing (iv) Installation of security surveillance systems including CCTV cameras, accesscont rol entry-exit, motion sensors/detectors, automatic, co- ordinated ingress egress for goodsand people; (v) Alarm systems & Control panels, (vi) fire safety systems, (vii) warehouse management system (vii) armed security.

The request of the applicant for approval to Co-Developer status for FTWZ is recommended by DC, SEEPZ SEZ.

100.8 Request for change of ownership

100.8(i) Request for change of ownership due to Business Transfer Agreement between M/s. Embassy Property Development Pvt Ltd, Co-Developer of M/s SNP SEZ and ESNP Property Builders Developers Pvt. Ltd.

M/s. Embassy Property Development Private Limited was granted Co-Developer status 12.07.2016 in SNP Infrastructure LLP, SEZ at Zarnin Pallavaram, Kanchipuram District for providing infrastructure facilities to the sector specific Special Economic Zone for IT/ITES.

M/s. ESPN Property Builders and Developers Private Limited is a subsidiary of M/s. Embassy Property Development Private Limited.

Current proposal is for approval of Business Transfer Agreement with M/s. ESNP Property Builders and Developers Private Limited, a subsidiary of EPDPL, whose Registered Office is at Embassy point, #150, Infantry Road, Bangalore by way of slump sale of the Co- Developer business in the SEZ

The proposal of M/s. Embassy -Property Development Private Limited (Co- Developer) invokes Business Transfer Agreement with M/s. ESPN Property Builders and Developers Private Limited which is a subsidiary of EPDPL, by way a slump sale to transfer the completed/on-going and planned development of SNP Infrastructure LLP SEZ and consequently the Co-Developer status of the SEZ ESPN Property Builders and Developers Private Limited, for a consideration as agreed between the parties.

Recommendation by DC, MEPZ:

The DC, has recommended the proposal of M/s. Embassy Property Development Private Limited for placing it before the BoA for consideration.
